Rhea-AI Filing Summary

AMASS Brands Inc. reported that Chief Financial Officer Zachary Ament resigned effective November 16, 2026; the company said this was not due to a disagreement. The board appointed Geoffrey McFarlane interim CFO effective November 17, 2026, also as principal financial officer and principal accounting officer, while it searches for a permanent CFO. McFarlane had consulted for AMASS since August 2025 at a base salary of $20,000 per month; interim compensation was being negotiated.

With consent from holders of a majority of the then-outstanding Series C preferred shares and board approval, AMASS amended the terms on October 22, 2026: the conversion-price Floor Price fell from $4.00 to $1.00 per share, and the $0.75 per-share Market Price minimum was eliminated. Market Price is calculated as 90% of the lowest daily volume weighted average price during the ten trading days before the measurement date. AMASS also terminated Streeterville Capital’s warrant, initially exercisable for up to 3,500,000 common shares; no payment was due, and the Investor no longer has rights to exercise it or receive shares, securities, cash or property under it. McFarlane is a director of Resonant LLC, which bought the AMASS trademark in April 2024; AMASS agreed to repurchase it after repayment of a secured promissory note.

Floor Price financial
"minimum “Floor Price” below which the conversion price ... may not be reduced"
The floor price is the minimum price at which a security, asset, or offering will be sold or accepted, acting like a seller’s “bottom line” or a reserve in an auction. For investors it matters because it sets a visible downside limit and can influence trading, valuation, and expectations of risk—like knowing there’s a safety net that a sale won’t go below a set level.
Market Price financial
"eliminated the prior $0.75 per share minimum threshold on the “Market Price”"
Market price is the current amount buyers are willing to pay and sellers are willing to accept for a share or other security at a given moment, like the tag on an item in a busy shop that changes with demand. It matters to investors because it determines what you would receive when selling or what you must pay to buy now, reflecting supply, demand and recent news that affect perceived value.
volume weighted average price financial
"90% of the lowest daily volume weighted average price"
The volume weighted average price (VWAP) is a way to measure the average price of a security, such as a stock, over a specific period, taking into account how many units were traded at each price. It’s similar to calculating the average cost of items bought when some are more frequently purchased than others. Investors use VWAP to assess whether a security is being bought or sold at a fair price during trading.
secured promissory note financial
"repurchase the trademark following repayment of a secured promissory note"
A secured promissory note is a written promise to repay borrowed money that is backed by specific assets pledged as collateral; if the borrower fails to pay, the lender can seize those assets to recover losses. Investors care because the collateral reduces the lender’s risk and can make the loan safer and more likely to be repaid, similar to a pawnshop loan where an item lowers the lender’s exposure if the borrower defaults.
