Rhea-AI Filing Summary

Aris Mining Corporation has filed a well-known seasoned issuer (WKSI) base shelf prospectus in Canada and a related registration statement on Form F-10 with the U.S. Securities and Exchange Commission, replacing its 2024 base shelf to maintain financing flexibility. The company states it has no current plans to issue securities under this shelf and notes it has not completed an equity financing since February 2021.

Aris Mining operates the Segovia and Marmato underground gold mines in Colombia, which together produced approximately 257,000 ounces of gold in 2025. Expansion projects at these mines are expected to lift annual production to about 500,000 ounces, supported by a second mill at Segovia completed in June 2025 and first gold from the new Marmato bulk mine and CIP plant targeted for Q4 2026. Longer term, the portfolio, including the Soto Norte and Toroparu projects, supports an objective of approximately 1 million ounces of annual gold production, based in part on a preliminary economic assessment for Toroparu that contemplates a 7.0 Mtpa operation over 21.3 years with average annual gold output of about 235,000 ounces at a base case gold price of US$3,000 per ounce.

well-known seasoned issuer regulatory
"it has filed a well-known seasoned issuer (WKSI) base shelf prospectus"
A well-known seasoned issuer (WKSI) is a large, established public company that meets regulatory size and reporting tests and is granted special, faster options to sell new securities to raise money. Think of it like a trusted borrower with a standing credit line: investors and markets see it as more familiar and the company can access capital quickly with less paperwork, which can affect share supply and investor returns.
base shelf prospectus regulatory
"filed a well-known seasoned issuer (WKSI) base shelf prospectus in Canada"
A base shelf prospectus is a pre-approved regulatory document that lets a company register a range of securities once and then sell them to the public over time without repeating the full approval process for each offering. For investors it’s like a menu and standing permission slip: it lays out the types of securities, key risks and terms ahead of any specific sale, so buyers can assess potential dilution, timing and the company’s plans before new shares or debt hit the market.
Form F-10 regulatory
"a related registration statement on Form F-10 with the U.S. Securities and Exchange Commission"
Form F-10 is a standardized prospectus document filed with Canadian securities regulators when a Canadian company offers shares or other securities to the public. It lays out the company’s business, financial results, management, and risks—like a detailed product label that helps investors compare what they’re buying and understand potential downsides. For investors, the form matters because it provides the core information needed to evaluate the safety, value and terms of a public securities offering.
preliminary economic assessment financial
"which is based on a preliminary economic assessment effective October 21, 2025"
A preliminary economic assessment is an initial analysis that estimates the potential profitability and feasibility of a project or resource, such as a new mineral deposit or development venture. It provides a rough idea of costs, benefits, and risks, helping investors decide whether to pursue more detailed studies. This early evaluation is important because it offers a snapshot of whether the project is worth further investment and development.
inferred mineral resources financial
"includes inferred mineral resources that are considered too speculative geologically"
An inferred mineral resource is an estimate of the quantity and grade of minerals in the ground based on limited sampling and geological information, where confidence is low and continuity is uncertain. For investors it signals potential value but also higher risk—like a rough sketch of a hidden treasure that requires much more exploration and testing before you can reliably judge its size or economic worth.
National Instrument 43-101 regulatory
"a Qualified Person as defined by National Instrument 43-101 (NI 43-101)"
National Instrument 43-101 is a set of rules and guidelines that govern how mineral exploration and mining companies must report information about their projects. It ensures that the details shared with investors are accurate, consistent, and reliable—similar to how a detailed, verified blueprint ensures a building’s safety. This helps investors make informed decisions based on trustworthy information about a company's mineral resources.

1 Reflects expected steady-state annual gold production of approximately 300 thousand ounces (koz) at Segovia and 200 koz at Marmato following completion and ramp-up of the respective expansion projects. For more information, please refer to the Company’s news releases dated June 30, 2025 regarding the Segovia expansion and March 12, 2025 regarding the Marmato expansion.

2 Includes potential production estimates from Toroparu, which is based on a preliminary economic assessment effective October 21, 2025, which contemplates a 7.0 Mtpa operation over a 21.3-year mine life with average annual gold production of approximately 235 koz at a base case gold price of US$3,000/oz. The preliminary economic assessment is preliminary in nature and includes inferred mineral resources that are considered too speculative geologically to have the economic considerations applied to them that would enable them to be categorized as mineral reserves, and there is no certainty that the preliminary economic assessment will be realized. Mineral resources that are not mineral reserves do not have demonstrated economic viability. There can be no assurance that the projected production will be achieved. Such production also remains subject to obtaining all necessary permits and to formal construction decisions by the Company, in each case for both Soto Norte and Toroparu.
