On December 4, 2025, a warehouse leased by AerSale Corporation (the “Company”) located at the Roswell, New Mexico airport was destroyed by a fire. No fatalities or injuries have been reported. The cause of the fire is currently unknown and under investigation by the Company in collaboration with the appropriate authorities. Management is assessing the impact of the incident to the Company’s business, results of operations, and financial condition; however, based on preliminary information, the Company does not expect a significant disruption to its revenue generating operations as a result of the incident, as the Company’s owned and leased aircraft and engines, heavy and component maintenance, repair and overhaul operations, and the vast majority of its used serviceable material inventory are located at other facilities not affected by the fire.
