Rhea-AI Filing Summary

Aurelion Inc. agreed to issue and sell 952,381 Class B Ordinary Shares to Antalpha Capital (HK) Limited for US$2.1 per share, an aggregate purchase price of US$2,000,000. The closing is expected on October 29, 2026 or another mutually agreed date and is subject to customary closing conditions. Antalpha Capital (HK) Limited’s obligations also depend on no continuing Material Adverse Effect and Nasdaq raising no objection to the additional-share listing notification or contemplated transactions. Aurelion agreed to use the proceeds for working capital and operating expenses.

Antalpha Capital (HK) Limited and its parent, Antalpha Platform Holding Company, each reported beneficial ownership of 24,841,271 shares, or 49.1%. The reported 49.1% uses a fully diluted total of 50,583,612 shares and assumes the subscription closes, specified warrants are exercised, and Class B shares convert into Class A shares one-for-one. Class B shares carry 50 votes per share, compared with one vote per Class A share.

Filing Explained

This amendment reports 12,896,826 shares of sole voting power separately from 24,841,271 beneficially owned; that figure includes 11,944,445 warrant shares and 952,381 shares under a subscription that had not closed, so it is not the reported sole-voting-power count.

Class B PIPE Financing financial
"purchased ... in the Class B PIPE Financing"
pre-funded warrants financial
"2,222,224 pre-funded warrants"
Pre-funded warrants are financial instruments that give investors the right to purchase a company's stock at a set price, but with most or all of the purchase price paid upfront. They function like a coupon or gift card for stock, allowing investors to buy shares later at a fixed price, which can be beneficial if they want to avoid future price increases. This makes them important for investors seeking flexibility and certainty in their investment plans.
fully diluted basis financial
"Total outstanding shares on such fully diluted basis"
A fully diluted basis counts every share that could exist if all outstanding options, warrants, convertible securities and other rights were exercised or converted into common stock, showing the maximum number of shares outstanding. For investors this matters because it spreads ownership and earnings across that larger share count, like slicing a pie into every possible piece before deciding how big each investor’s slice will be, which affects per-share value and ownership percentage.
Material Adverse Effect financial
"absence of a continuing Material Adverse Effect"
A material adverse effect is a significant negative change or event that substantially reduces a company’s business, financial condition, or future prospects — think of it like a sudden major engine failure that makes a car unreliable. Investors care because such an event can lower expected profits, trigger contract clauses (allowing counterparties to renegotiate or walk away), and prompt swift stock-price reassessment based on the higher risk and uncertainty.
