Transaction by Person Discharging Managerial
Responsibilities
AstraZeneca PLC (the Company) announced that, on 14 September 2026,
Dr Aradhana Sarin, Chief Financial Officer of the Company, acquired
73 of the Company's ordinary shares of $0.25 each (Ordinary Shares)
following the vesting of certain dividend equivalent awards accrued
in relation to her 2021 AstraZeneca Performance Share Plan (AZPSP)
award.
The underlying 2021 AZPSP award vested to Dr Sarin on 17 August
2026 and was announced on 18 August 2026. Due to administrative
processing timelines, the dividend equivalent awards relating to
the Company's first interim dividend for 2026 were not included in
that vesting. These dividend equivalent awards therefore vested
separately on 14 September 2026. All other dividend equivalent
units accrued during the performance and holding period were
included within the 17 August vest.
Following the withholding of shares to satisfy certain tax
obligations arising on vesting, Dr Sarin's beneficial interest in
Ordinary Shares changed as detailed in the table
below:

For tax purposes, the fair market value of an Ordinary Share at
vest of the award was £114.60, being the closing price on the
last trading day preceding the vesting of the 2021 AZPSP
award.
Further details are set out in the attached notification, made in
accordance with the requirements of the EU Market Abuse Regulation
(as it forms part of UK law pursuant to the European Union
(Withdrawal) Act 2018).
