On August 1, 2025, as part of a planned succession process, Eric Fencl announced his retirement as the Chief Administrative Officer, General Counsel and Secretary of Build a Bear Workshop, Inc. (the “Company”), and, on August 1, 2025, the Board of Directors of the Company appointed Yevgeny Fundler as Chief Legal Officer and Secretary of the Company. Mr. Fencl’s retirement and Mr. Fundler’s appointment will take effect on August 4, 2025. A copy of the Company’s press release announcing this transition is filed as Exhibit 99.1 to this Current Report on Form 8-K.
 
Mr. Fencl will temporarily remain a non-executive employee with the Company to assist with the transition of the responsibility for legal and compliance matters to Mr. Fundler. Mr. Fencl’s annual base salary rate will be reduced to $300,750 during the transition period which is currently expected to end on December 5, 2025.
