Rhea-AI Filing Summary

Clean Energy Technologies, Inc. (CETY) issued Falcon Venture Limited a convertible promissory note with $500,000 principal for a $500,000 purchase price on October 18, 2026; the company had already received the purchase price. The agreement requires the proceeds to be used for business development and payment of company obligations.

The note matures October 18, 2027, accrues interest at 8% per annum and may be converted at the holder’s election beginning six months after issuance. The conversion price is 85% of the lowest traded price during the ten trading days before conversion. Conversion is limited by a 9.99% beneficial-ownership cap and, absent the shareholder approval required by Nasdaq Rule 5635(d), may not result in more than 2,432,004 shares being issued in aggregate. Falcon may deduct $1,750 from each conversion amount for its conversion-related fees. Disputes related to the agreement and note are subject to arbitration in Orange County, California.

Filing Explained

CETY received $500,000 and issued a $500,000 note, creating debt now and potential dilution if converted into shares; against that funding, its latest reported cash was $19,735 at June 30, 2026, when the quarter’s $828,030 operating cash outflow put that cash at 2.2 days of use at the reported rate.

convertible promissory note financial
"issued the Note to Falcon"
A convertible promissory note is a loan a company takes now that can later be turned into shares instead of being repaid in cash. Think of it as lending money with the option to accept ownership in the business down the road; that matters to investors because it affects who gets paid first, how much ownership existing shareholders keep, and the company’s future valuation and cash needs. Terms such as conversion price, interest and maturity determine the financial impact.
conversion price financial
"at a conversion price equal to 85%"
The conversion price is the fixed price at which a convertible security, like a bond or preferred stock, can be exchanged for shares of common stock. It acts like a set rate that determines how many shares an investor can receive if they choose to convert their investment. This helps investors understand the value and potential benefits of converting their securities into company shares.
beneficial ownership financial
"holder’s beneficial ownership of the Company’s common stock"
Beneficial ownership means the person or entity that actually enjoys the benefits of owning shares or other assets — such as receiving dividends, voting rights, or price gains — even if the legal title is held in another name. For investors it matters because knowing who truly controls and profits from a company reveals who can influence decisions, exposes potential conflicts of interest or hidden concentration of power, and affects transparency and risk in the stock.
Section 4(a)(2) regulatory
"exemption from registration provided by Section 4(a)(2)"
Section 4(a)(2) is a part of U.S. securities laws that allows companies to sell their stock directly to certain investors without registering the sale with regulators. This process is often used for private placements, making it easier and faster for companies to raise money from knowledgeable or institutional investors. It matters to investors because it provides an alternative way to buy shares, often with fewer disclosures and lower costs.
