ClearOne faces delisting over $2.5M Nasdaq equity rule

A timely hearing request would stay suspension pending the hearing and any additional extension period the panel grants afterward.

Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

ClearOne, Inc. received a Nasdaq Staff determination to delist its common stock after the Staff said the company had not demonstrated compliance with the $2,500,000 minimum stockholders’ equity requirement for continued listing. Nasdaq had granted an exception of up to 180 calendar days from April 7, 2026, or until October 5, 2026; the Staff cited incomplete remedial actions in ClearOne’s May 22, 2026 compliance plan.

ClearOne intends to request a hearing by October 15, 2026 and present a plan to regain compliance. A timely request automatically stays suspension or delisting pending the hearing and expiration of any additional extension period the Panel grants afterward. Without a timely request, trading will be suspended at the opening of business on October 19, 2026. The company said there can be no assurance the Panel will grant a hearing or that ClearOne will regain compliance.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Item 3.01             Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

As previously disclosed, on April 7, 2026, ClearOne, Inc. (the “Company”) received a notice from the Listing Qualifications Department (the “Staff”) of the Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that the Company no longer complied with the continued listing requirements set forth in Nasdaq Listing Rule 5550(b) (the “Continued Listing Requirements”).

In accordance with Nasdaq Marketplace Rule 5810(c)(2)(A), the Company had a period of 45 calendar days from April 7, 2026, or until May 22, 2026, to submit to Nasdaq a plan to regain compliance with the Continued Listing Requirements. Nasdaq, in its discretion, granted an exception of up to 180 calendar days from April 7, 2026, or until October 5, 2026, for the Company to regain compliance with the Continued Listing Requirements.

On October 8, 2026, the Company received a Staff determination letter notifying the Company that it had not demonstrated compliance with the $2,500,000 minimum stockholders’ equity requirement for continued listing set forth under Nasdaq Listing Rule 5550(b)(1) (the “Stockholders’ Equity Rule”) because the Company had not completed the remedial actions contemplated by the compliance plan submitted to Nasdaq on May 22, 2026. Accordingly, the Staff determined to delist the Company’s securities from The Nasdaq Capital Market. The Company intends to timely request a hearing before a Nasdaq Hearings Panel (the “Panel”) by October 15, 2026, to appeal the Staff’s determination. The hearing request will automatically stay any suspension or delisting action pending the hearing and the expiration of any additional extension period granted by the Panel following the hearing. At the hearing, the Company intends to present its plan to regain compliance with the Stockholders’ Equity Rule. Unless the Company timely requests a hearing, trading in the Company’s common stock will be suspended at the opening of business on October 19, 2026.

The Company intends to take all reasonable measures available to regain compliance under the Stockholders’ Equity Rule and remain listed on Nasdaq. However, there can be no assurance that Nasdaq will grant the Company’s request for a hearing or that the Company will ultimately regain compliance with all applicable requirements for continued listing.
