Rhea-AI Filing Summary

CFN Enterprises Inc. (CNFN) filed a Form 12b-25 to notify a delay in submitting its Quarterly Report on Form 10-Q for the period ended September 30, 2025. The company states it cannot file on time without unreasonable effort or expense because it is still completing its financial statements, and it expects to file within the 5-day extension allowed by the rules.

Based on preliminary estimates, CFN reports that net income (loss) available to common shareholders was approximately $0.97 million and $(0.92) million for the three and nine months ended September 30, 2024, and it now anticipates net losses of about $0.43 million and $5.2 million for the same 2025 periods. These figures are preliminary, unaudited, and may change when the financial statements are completed.

Insights

CNFN flags a late Q3 2025 10-Q and signals a much larger year-to-date loss based on preliminary, unaudited figures.

CFN Enterprises Inc. has filed a late-filing notice for its Q3 2025 Form 10-Q, citing the need for more time to complete financial statements. The company indicates it plans to use the 5-calendar-day extension provided by Rule 12b-25, which keeps the delay within the standard grace period rather than indicating a longer-term filing issue.

Preliminary numbers suggest a meaningful deterioration in profitability. For the three and nine months ended September 30, 2024, net income (loss) available to common shareholders was approximately $0.97 million and $(0.92) million. For the comparable 2025 periods, the company now anticipates net losses of about $0.43 million and $5.2 million, primarily attributed to an increase in cost of revenue. Management emphasizes that these results are estimates pending completion of the financial statements and that the independent auditor has not audited or reviewed these figures.

The combination of a filing delay and a swing to significantly larger losses may alter how investors assess CFN’s recent operating trajectory once the full Q3 2025 Form 10-Q is filed. The final impact will depend on the completed financial statements and any additional detail on cost trends and other operating drivers disclosed for the period ended September 30, 2025.
