Deere & Company (NYSE: DE) guarantees new Canada unit note offering
Deere Funding Canada Corporation, an indirect wholly owned subsidiary of Deere & Company, is offering a new series of senior unsecured notes fully and unconditionally guaranteed on a senior unsecured basis by Deere & Company. Interest is payable semi-annually, and the notes will be issued in minimum denominations of $2,000 in book-entry form through DTC.
Before a defined Par Call Date, the notes are optionally redeemable at a make-whole premium based on a Treasury Rate calculation; on or after the Par Call Date they are redeemable at par, and they may also be redeemed at par in certain tax events. The notes rank equally with other unsecured, unsubordinated indebtedness of the issuer and guarantor. Net proceeds will be used for general corporate purposes, with at least 85% advanced to Deere & Company or a controlled company within six months. The supplement highlights risks including reliance on the guarantor’s financial condition, potential illiquidity of the trading market, and reinvestment risk from early redemption, as well as detailed Canadian and U.S. tax considerations and selling restrictions in multiple jurisdictions.
