Filing Explained

The July 27 filing updates DHT’s F-3 disclosure record; it does not disclose a completed securities offering, sale, or issuance.

Form 6-K is a foreign private issuer’s interim report for furnishing material information published in its home market; here, DHT filed this report on July 27, 2026 with a July 24 press release.

The report states that Exhibit 99.1 shall be incorporated by reference into DHT’s Form F-3 registration statement, filed March 19, 2026, to the extent not superseded by later expressly incorporated information.

That places the disclosure at the registration-document stage: the filing reports incorporation of information, not an identified offer, sale, or issuance of securities, so no new share count or holder dilution is established here.

spot market financial
"The vessel is entering the spot market and represents the fourth"
The spot market is where assets—like stocks, commodities, or currencies—are exchanged for immediate delivery and payment at the current market price. It matters to investors because spot prices reflect real-time supply and demand, guide short-term trading decisions, and serve as the baseline for contracts and valuations; think of it as buying an item at the store right now instead of ordering it for later.
forward-looking statements regulatory
"This press release contains certain forward-looking statements and information"
Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. They matter because they help investors understand a company's outlook, but since they are based on guesses and assumptions, they can sometimes be wrong.
Form 20-F regulatory
"refer to the Company’s Annual Report on Form 20-F, filed"
Form 20-F is the standardized annual disclosure that non-U.S. companies must file with the U.S. securities regulator when their shares are traded in the U.S.; it contains audited financial statements, a plain-language description of the business, management discussion, governance details and key risk factors. It matters to investors because it provides a consistent, comparable company “report card” and rulebook, helping buyers assess financial health, governance and risks before investing.
