Item 8.01 Other Events.

As previously disclosed, on November 7, 2025, the Company received a decision from the Nasdaq Hearings Panel (the “Panel”) regarding the Company’s continued listing on of The Nasdaq Stock Market LLC (“Nasdaq”), which among other things indicated that the Panel had granted the Company an exception through January 30, 2026, to demonstrate compliance with Nasdaq Listing Rule 5550(a)(2) (the “Bid Price Rule”). On January 12, 2026, the Company effected a 55-to-1 reverse stock split of all classes of the Company’s common stock, including the Class A Common Stock listed on The Nasdaq Capital Market, which was intended to bring the Company into compliance with the Bid Price Rule.

On February 12, 2026, the Company was notified by Nasdaq that the Company has evidenced compliance with the Bid Price Rule, due to the closing bid price for the Company’s Class A Common Stock having closed at or above $1.00 per share for over 20 consecutive business days (the “Compliance Notice”). The Compliance Notice also indicated that the Company would remain subject to a Panel Monitor for a period of one year from the date of the Staff’s letter. Should the Company fail to maintain compliance with any continued listing requirement during the Panel Monitor period, the Staff will issue a delist determination, which the Company may address at a new hearing before the Panel.

On February 12, 2026, the Company issued a press release announcing receipt of the Compliance Notice, which is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein.

Houston, February 12, 2026 -- Direct Digital Holdings, Inc.
