Rhea-AI Filing Summary

Edgemode, Inc. (EDGM) entered into an agreement effective October 19, 2026, to sell Vanquish Funding Group Inc. an unsecured original issue discount convertible promissory note with $159,600 in principal. Edgemode received $133,000 in net proceeds for working capital and paid the investor $8,000 to reimburse legal and due diligence fees.

The note carries a one-time 15% interest charge applied to principal on the issuance date; amounts unpaid when due bear 22% annual default interest. It provides for four monthly payments of outstanding principal and accrued interest from April 15 through July 15, 2027, and matures on July 15, 2027.

Conversion is permitted only following an event of default and not before 180 days after issuance. The conversion price is 61% of the lowest closing trading price during the 20 trading days before conversion. After a default, the note becomes immediately due at 150% of outstanding principal, accrued interest and other amounts owed, potentially increasing to 200% in certain circumstances. Conversion is limited so the investor and its affiliates would not own more than 4.99% of outstanding common stock.

original issue discount financial
"unsecured original issue discount convertible promissory note"
Original issue discount (OID) is the difference between a debt security’s face value and the lower price at which it is first sold, treated as additional interest that accrues over the life of the instrument. For investors it matters because OID raises the effective yield and changes taxable income and the holding’s cost basis over time — think of buying a $100 voucher for $90 and recognizing the $10 gain as earned interest as the voucher approaches maturity.
default interest financial
"bears default interest at 22% per annum"
Default interest is an extra, higher interest rate that kicks in when a borrower fails to make required payments or otherwise breaches loan terms. Think of it as a penalty interest or late fee that increases the cost of unpaid debt, causing overdue balances to grow faster. Investors care because default interest raises potential recoveries, affects cash flow timing, and signals heightened credit risk that can change a loan or bond's value.
conversion price financial
"The conversion price shall be 61%"
The conversion price is the fixed price at which a convertible security, like a bond or preferred stock, can be exchanged for shares of common stock. It acts like a set rate that determines how many shares an investor can receive if they choose to convert their investment. This helps investors understand the value and potential benefits of converting their securities into company shares.
private placement financial
"issued in a private placement"
A private placement is a sale of securities directly to a selected group of investors, typically institutions or accredited investors, instead of through a public offering. It lets a company raise money faster and with fewer regulatory steps; for existing shareholders it matters because the newly issued shares, often sold at a discount, increase the share count and can dilute their ownership.

Item 1.01 Entry into a Material Definitive Agreement.

Effective October 19, 2026, Edgemode, Inc. (the “Company”) entered into a Securities Purchase Agreement (the “Purchase Agreement”) with an accredited investor (the “Investor”). Pursuant to the Purchase Agreement, the Company sold the Investor an unsecured original issue discount convertible promissory note in the principal amount of $159,600 (the “Promissory Note”) for which the Company received net proceeds of $133,000. The proceeds from the sale of the Promissory Note shall be used for working capital. In addition, the Company paid $8,000 to the Investor for reimbursement of legal and due diligence fees.

The Promissory Note bears a one-time interest charge of 15%, which was applied to the principal on the issuance date, and any amount not paid when due bears default interest at 22% per annum. The Promissory Note has a maturity date of July 15, 2027. The Promissory Note is convertible into common stock of the Company only following an event of default, and in no event prior to 180 days after the issuance date. The conversion price shall be 61% of the lowest trading price of the Company’s common stock at closing during the 20 trading days prior to the conversion date. The outstanding principal and accrued interest shall be paid in four monthly payments as follows: (i) $91,770 on April 15, 2027, (ii) $30,590 on May 15, 2027, (iii) $30,590 on June 15, 2027, and (iv) $30,590 on July 15, 2027.

The Promissory Note provides for standard and customary events of default such as failing to timely make payments under the Promissory Note when due, the failure of the Company to timely comply with the Securities Exchange Act of 1934 reporting requirements, the failure to maintain a listing on the OTC Markets and the cessation of operations. Upon the occurrence of an event of default, the Promissory Note becomes immediately due and payable in an amount equal to 150% of the outstanding principal, accrued interest and other amounts owed and may increase to 200% in certain circumstances as set forth in the Promissory Note. At no time may the Promissory Note be converted into shares of the Company’s common stock if such conversion would result in the Investor, or its affiliates, owning an aggregate of more than 4.99% of the then outstanding shares of the Company’s common stock.

The Promissory Note was issued in a private placement in reliance upon an exemption from registration provided by Section 4(a)(2) of the Securities Act of 1933.
