Rhea-AI Filing Summary

EVgo Inc. said its board received an unsolicited, non-binding proposal from LS Power Equity Advisors, LLC and certain affiliates to acquire all outstanding Class A common shares not owned by LS Power for $2.00 per share in cash. LS Power holds approximately 56% of the combined voting power of EVgo’s outstanding common stock. LS Power said the proposed price represented a 62% premium to the 30-day VWAP and a 59% premium to the closing price, both as of October 30, 2026.

EVgo’s board established a special committee of independent and disinterested directors to review the proposal, authorized to retain independent legal and financial advisers. No decision has been made on EVgo’s response. LS Power says it will not move forward unless the committee recommends the proposal to the board. LS Power may withdraw or modify its non-binding proposal, and no legal obligation arises before definitive agreements are executed. EVgo said shareholders need not take action now and that no agreement or completed transaction is assured.

Filing Explained

In its non-binding proposal, LS Power anticipates a long-form merger rather than a tender offer, which it says would allow public shareholders to exercise appraisal rights; that merger structure is proposed, not agreed.

30-day VWAP financial
"62% premium to the 30-day VWAP"
Thirty-day VWAP is the average price at which a stock traded over the past 30 trading days, weighted by the number of shares traded at each price during that period. It matters to investors because it gives a clearer picture of the price buyers and sellers have actually paid—like a sales-weighted average for a store—and is used to judge whether current price action is fair, to benchmark trading performance, and to spot longer-term support or resistance levels.
long-form merger regulatory
"anticipate utilizing a long-form merger structure"
appraisal rights regulatory
"ability to exercise their appraisal rights"
A legal right that lets shareholders who dislike the price or terms of a buyout, merger or other major corporate change ask for an independent determination of the fair value of their shares instead of accepting the deal price. Think of it like asking a neutral referee to set the payout if you believe the offered price is too low. For investors, appraisal rights can provide a way to recover a higher cash value but can be slow, costly and create uncertainty around deal outcomes.
special committee regulatory
"special committee composed of independent and disinterested directors"
A special committee is a group of people chosen by an organization to carefully examine a specific issue or problem, often when a decision could have significant consequences. Think of it as a task force brought together to investigate and recommend actions, ensuring that important matters are handled thoroughly and fairly. For investors, this means decisions are made with careful oversight, which can impact the organization's stability and future direction.

VIA EMAIL:

Board of Directors EVgo Inc.
1661 East Franklin Avenue El Segundo, California 90245

Dear Members of the Board of Directors,

LS Power Equity Advisors, LLC and certain of its affiliates (collectively, “LS Power”, “we”, “us” or “our”) submit this proposal to acquire all of the outstanding shares of Class A common stock of EVgo Inc. (the “Company”) that are not owned by us for a purchase price of $2.00 per share in cash (the “Proposal”).

Our Proposal represents a 62% premium to the 30-day VWAP of the Company’s shares of Class A common stock as of October 30, 2026 and a 59% premium to the closing price on the same date.

As you know, LS Power currently owns an aggregate of approximately 178 million shares of the Company’s outstanding Class A common stock and Class B common stock, representing approximately 56% of the outstanding voting securities of the Company.

We anticipate utilizing a long-form merger structure (as opposed to a tender offer followed by a short-form merger) as we believe it allows for the most comprehensive disclosure of the proposed transaction to the Company’s public shareholders and provides the Company’s public shareholders with the ability to exercise their appraisal rights in connection with the proposed transaction.

We wish to emphasize that, in our capacity as a shareholder of the Company, we are only interested in acquiring the shares of the Company that we do not currently own, and accordingly we have no interest in a disposition or sale of our holdings in the Company, and we have no interest in participating in an alternative change of control transaction involving the Company.

It is our expectation that a fully empowered special committee comprised of independent and disinterested directors appointed by the Company’s Board of Directors will consider our Proposal and make a recommendation to the Company’s Board of Directors. We will not move forward with our Proposal unless it is recommended to the Company’s Board of Directors by such special committee, advised by independent legal and financial advisors.

This Proposal is a non-binding expression of interest only, and we reserve the right to withdraw or modify our Proposal in any respect at any time. No legal obligation with respect to our Proposal or any other transaction shall arise unless and until mutually acceptable definitive transaction documentation is executed by the Company and us. We believe that time is of the essence and are prepared to move immediately to negotiate and finalize a transaction with the special committee.

We are available at your convenience to discuss any aspects of our Proposal.

Very truly yours,

LS Power Equity Advisors, LLC
