Rhea-AI Filing Summary

First Community Bankshares (FCBC) agreed to acquire Main Street Financial Services Corp. in a stock merger. At closing, each eligible Main Street common share converts into the right to receive 0.6174 FCBC shares, with cash in lieu of fractional shares. Based on FCBC’s 10-day volume-weighted average price of $48.82 as of October 26, 2026, the exchange ratio represents approximately $30.14 per Main Street share and an aggregate transaction value of approximately $243 million. Main Street reported approximately $1.6 billion in assets as of September 30, 2026; combined assets are expected to be approximately $5.2 billion before transaction-related adjustments.

Closing is expected early in the second quarter of 2027, subject to both companies’ shareholder approvals, regulatory approvals, an effective Form S-4 registration statement and other customary conditions; FCBC agreed to file the S-4 within 45 days. Main Street options, vested or unvested, will be cancelled for cash under a formula tied to FCBC’s average closing price for the 10 trading days before closing, the exchange ratio and each option’s exercise price. Main Street may owe FCBC a $9.61 million termination fee in specified circumstances. Mark R. Witmer, Main Street’s chairman, president and CEO, is to join First Community Bank as President of the Ohio Region upon closing.

Filing Explained

Main Street directors agreed to vote shares representing about 10.4 percent of its stock for the merger, but shareholder votes and regulatory approvals remain outstanding.

First Community and Main Street have signed a merger agreement, but the deal is not completed and remains subject to both companies’ shareholder votes and regulatory approvals. If it closes, Main Street common shares convert into First Community shares, increasing its share count and reducing existing holders’ percentage ownership.

Main Street directors agreed to vote the shares they own for the merger; together, those shares represent about 10.4% of Main Street’s outstanding common stock, a specified block of support that does not replace the required shareholder approvals.

Exchange Ratio financial
"shares (the “Exchange Ratio”) of First Community common stock"
The exchange ratio is the number used to decide how many shares of one company you get for each share you own in another company during a merger or acquisition. It’s like a recipe that tells you how to swap shares fairly, ensuring both companies’ values are balanced. This ratio matters because it determines how ownership divides between the companies' shareholders.
Average Closing Price financial
"the “Average Closing Price” multiplied by (B) the Exchange Ratio"
The average closing price is the arithmetic mean of a security’s end-of-day prices over a chosen period, found by adding each day’s closing price and dividing by the number of days. It smooths out daily ups and downs to show a typical market value—like averaging daily temperatures to understand a month’s climate—and helps investors spot trends, judge whether a stock is generally rising or falling, and make clearer buy or sell decisions.
volume-weighted average price financial
"First Community’s 10-day volume-weighted average price of $48.82"
Volume-weighted average price (VWAP) is the average price of a stock over a specific time period where each trade is weighted by the number of shares traded, so larger trades influence the average more than small ones. Investors and traders use VWAP as a reference point to judge whether trades are happening at relatively good or poor prices—like checking the average price paid for an item at a market where bulk purchases count more than single-item buys.
tax-free reorganization regulatory
"intended to be a tax-free reorganization under Section 368(a)"
A tax-free reorganization is a corporate restructuring—such as a merger, acquisition, or stock-for-stock exchange—structured so that shareholders do not have to pay immediate income tax on gains from the transaction. Think of it like swapping houses under a rule that lets you avoid a tax bill until you later sell; it matters to investors because it affects the timing of taxes, the adjusted cost basis of their holdings, and the net economic benefit they actually receive from the deal.
non-solicitation obligations regulatory
"customary non-solicitation obligations relating to alternative acquisition proposals"

On October 27, 2026, First Community Bankshares, Inc. (“First Community”) entered into an Agreement and Plan of Merger (the “Agreement”) with Main Street Financial Services Corp., a West Virginia corporation (“Main Street”), under which First Community will acquire Main Street.

Main Street is a bank holding company headquartered in Wooster, Ohio, with total assets of approximately $1.6 billion, total loans of approximately $1.3 billion, total liabilities of approximately $1.5 billion, total deposits of approximately $1.4 billion and total shareholders' equity of approximately $137 million as of September 30, 2026. Main Street is the parent company of Main Street Bank Corp., which operates 21 banking offices across east central Ohio and in the northern panhandle of West Virginia.

Pursuant to the terms and conditions set forth in the Agreement, at the effective time of the Merger (the “Effective Time”), Main Street will merge with and into First Community (the “Merger”). Main Street will cease to exist, and First Community will survive and continue to exist as a Virginia corporation. The Agreement further provides that following the Effective Time, Main Street Bank Corp. will merge with and into First Community Bank, a wholly owned subsidiary of First Community (the “Bank Merger”). First Community Bank will survive the Bank Merger and continue to exist as a Virginia banking corporation.

At the Effective Time, a current member of the Main Street board of directors will be appointed to the First Community and First Community Bank board of directors.

Merger Consideration

The Agreement provides that, upon the terms and conditions set forth in the Agreement, at the Effective Time, each share of Main Street common stock, par value $1.00 per share (“Main Street Common Stock”) outstanding immediately prior to the Effective Time will be converted into the right to receive 0.6174 shares (the “Exchange Ratio”) of First Community common stock, par value $1.00 per share (“First Community Common Stock”). Holders of Main Street Common Stock will receive cash in lieu of fractional shares. Based on First Community’s 10-day volume-weighted average price of $48.82 as of October 26, 2026, the exchange ratio represents approximately $30.14 per share of Main Street Connon Stock and an aggregate transaction value of approximately $243 million.

The Merger is intended to be a tax-free reorganization under Section 368(a) of the Internal Revenue Code of 1986, as amended (the “IRC”).

Treatment of Main Street Options

As of the Effective Time, each option to purchase shares of Main Street Common Stock (each, a “Main Street Stock Option”) that is outstanding and unexercised under the Main Street 2025 Equity Incentive Plan and the Legacy Wayne Share Option Plan (collectively, the “Main Street Stock Plans”) immediately prior to the Effective Time, whether vested or unvested, will be cancelled without any action on the part of the holder or beneficiary thereof, and converted into the right to receive a lump sum cash payment equal to the product of: (i) the excess, if any, of the product of (A) the volume-weighted average of the closing sales price of First Community Common Stock as reported on Nasdaq for the 10 consecutive trading days ending on and including the last trading day immediately preceding the closing date (the “Average Closing Price”) multiplied by (B) the Exchange Ratio, over the applicable exercise price of such Main Street Stock Option; and (ii) the number of shares of Main Street Common Stock subject to such Main Street Stock Option, less any required withholding taxes.

Representations and Warranties; Covenants

The Agreement contains customary representations and warranties from both First Community and Main Street, and each party has agreed to customary covenants. Main Street has agreed to conduct its business in the ordinary course during the interim period between the execution of the Agreement and the Effective Time. Each party has agreed to call a meeting of its shareholders to consider and vote upon the approval of the Agreement and the transactions contemplated thereby and, subject to certain exceptions, for the board of directors of each party to recommend that its shareholders vote in favor of the Agreement and the transactions contemplated thereby. Main Street has also agreed to customary non-solicitation obligations relating to alternative acquisition proposals, subject to certain exceptions. First Community has agreed to file the registration statement on Form S-4 with the SEC within 45 days from the date of the Agreement. Main Street and First Community have also agreed to use their reasonable best efforts to prepare and file all applications, notices and other documents to obtain all necessary consents and approvals for consummation of the transactions contemplated by the Agreement.

Closing Conditions

The completion of the Merger and the Bank Merger are subject to customary conditions, including (1) receipt of the requisite approval of both First Community’s and Main Street’s shareholders of the Agreement, (2) the admission for listing on the Nasdaq Stock Exchange of the shares of First Community Common Stock to be issued in the Merger, (3) receipt of required regulatory approvals from the Board of Governors of the Federal Reserve System and the Virginia State Corporation Commission Bureau of Financial Institutions and regulatory filings with the West Virginia Division of Financial Institutions, (4) effectiveness of the registration statement on Form S-4 for First Community Common Stock to be issued in the Merger, and (5) the absence of any order, injunction, decree or other legal restraint prohibiting the completion of the Merger, the Bank Merger or any of the other transactions contemplated by the Agreement.

Each party’s obligation to complete the Merger is also subject to certain additional customary conditions, including (1) the accuracy of the representations and warranties of the other party, (2) performance in all material respects by the other party of its obligations under the Agreement, and (3) receipt by such party of an opinion from its tax counsel to the effect that the Merger will qualify as a “reorganization” within the meaning of Section 368(a) of the IRC.

The Merger is expected to close early in the second quarter of 2027 subject to the satisfaction of the above conditions.

Termination; Termination Fee

The Agreement provides certain termination rights for both First Community and Main Street, including, among others, (a) by mutual consent of the parties; (b) by either party upon the failure to obtain the requisite regulatory approvals; (c) by either party if the Merger is not consummated by August 31, 2027; (d) by either party if the other materially breaches a representation, warranty, covenant or agreement, subject to a cure period; (e) by either party if the requisite vote of either party’s shareholders to approve the Agreement is not obtained; (f) by First Community if (i) the Main Street board of directors changes its recommendation to its shareholders or fails to unanimously publicly recommend in the joint proxy statement/prospectus to be filed by First Community that the Main Street shareholders approve the Agreement, or (ii) Main Street breaches the non-solicitation covenants in the Agreement in any material respect or Main Street breaches the covenant related to the Main Street shareholder meeting in any material respect; or (g) by Main Street if (i) the First Community board of directors changes its recommendation to its shareholders or fails to unanimously publicly recommend in the joint proxy statement/prospectus to be filed by First Community that the First Community shareholders approve the Agreement, or (ii) First Community breaches the covenant related to the First Community shareholder meeting in any material respect.

First Community Bankshares, Inc. Announces Acquisition of Main Street Financial Services Corp.

BLUEFIELD, Va., October 28, 2026 — First Community Bankshares, Inc. (“First Community”) (NASDAQ: FCBC), based in Bluefield, Virginia, and Main Street Financial Services Corp. (“Main Street”) (OTCQX: MSWV), based in Wooster, Ohio, jointly announced today the signing of an Agreement and Plan of Merger (the “Agreement”).

Under the Agreement, Main Street will merge with and into First Community, with First Community continuing as the surviving corporation. Main Street’s wholly owned banking subsidiary, Main Street Bank Corp. (“Main Street Bank”), will merge with and into First Community’s wholly owned banking subsidiary, First Community Bank.

At September 30, 2026, Main Street reported approximately $1.6 billion in consolidated assets. Based on the companies’ reported assets at that date, the combined organization is expected to report approximately $5.2 billion in assets before transaction-related adjustments.

The proposed transaction will advance First Community’s disciplined growth strategy by strengthening its franchise in West Virginia and establishing a meaningful presence in attractive Eastern Ohio markets. The partnership will expand First Community’s banking operations to five states. The combination brings together Main Street Bank’s strong organic loan growth and established customer relationships with First Community’s low cost core deposits and liquidity, greater lending capacity, and expanded products and customer services, creating a stronger platform to serve customers across the region.

Mark R. Witmer, Chairman, President and Chief Executive Officer of Main Street, commented, “This partnership represents an exciting next chapter for Main Street and an attractive opportunity for our shareholders, customers and employees. We have built a strong community banking franchise through disciplined lending, exceptional customer service and longstanding relationships in the markets we serve. By joining First Community, we will gain the financial strength, lending capacity and expanded capabilities of a larger organization while preserving the local relationships and personalized service that have been central to our success. I am particularly excited about the opportunities this combination creates for our employees and our ability to better serve our customers and communities for years to come."

“Main Street Bank is a high performing community bank, presenting a balance sheet and loan asset generation very complimentary to First Community Bank’s liquidity and balance sheet management. They possess a high acumen in farm and agricultural lending which will allow First Community to better serve its longstanding rural markets. Mark Witmer is an outstanding individual and banker who has provided Main Street exemplary leadership as President and CEO. We couldn’t be more excited about Mark joining our executive team as President of the Ohio Region,” said Gary Mills, President and CEO of First Community Bank.

“This partnership brings together complementary strengths benefiting both organizations,” said William P. Stafford II, Chairman and Chief Executive Officer of First Community. “Main Street brings talented bankers, a demonstrated ability to organically grow loans, and attractive markets in which to employ our customer-focused community banking. First Community brings liquidity from a strong core deposit franchise, disciplined capital management, and the resources of a larger organization. Together, we can offer customers higher lending limits and enhanced products and technology while creating opportunities for growth and operating efficiencies. We believe this combination positions us to build long-term value and deliver superior returns for our shareholders.”

The Agreement has been unanimously approved by the boards of directors of First Community and Main Street.
