Rhea-AI Filing Summary

Full House Resorts, Inc. (FLL) reported ongoing discussions about financing construction of a permanent American Place casino in Waukegan, Illinois, and refinancing its existing debt. A major financial institution has expressed willingness to fund all construction costs. The company is also discussing a contemplated private offering of approximately $525.0 million of new senior secured notes due 2031 and a new $100.0 million revolving credit facility, as part of refinancing its 8.25% Senior Secured Notes due 2028. The permanent casino is intended to replace the temporary facility and is designed to be significantly larger.

The company says it would use proceeds from the three transactions to redeem the existing notes, repay its existing credit facility, fund the full casino construction, pay fees, expenses and accrued interest, and for general corporate purposes. Discussions remain ongoing; any transaction is subject to execution of definitive documentation, and there can be no assurance that a transaction will be consummated.

Item 7.01 Regulation FD Disclosure Disclosure
Material non-public information disclosed under Regulation Fair Disclosure, often investor presentations or guidance.
Contemplated new senior secured notes approximately $525.0 million Private offering; due 2031
Contemplated revolving credit facility $100.0 million New facility
Existing Senior Secured Notes interest rate 8.25% Existing Notes due 2028
Existing Notes maturity Due 2028 Existing 8.25% Senior Secured Notes
Contemplated new notes maturity Due 2031 New senior secured notes
Senior Secured Notes financial
"8.25% Senior Secured Notes due 2028"
Senior secured notes are loans a company sells to investors that are backed by specific assets and given first priority for repayment if the company defaults. Because they have a claim on collateral and are paid before other debts, they usually offer lower risk and correspondingly lower interest than unsecured debt; investors use them to judge how safe repayment and recovery of principal might be, like holding a mortgage instead of an unsecured credit card balance.
revolving credit facility financial
"a new $100.0 million revolving credit facility"
A revolving credit facility is a type of loan that a business can borrow from whenever it needs money, up to a set limit. It’s like having a credit card for companies—allowing them to borrow, pay back, and borrow again as needed, providing flexibility for managing cash flow or funding short-term expenses.
definitive documentation financial
"subject to the execution of definitive documentation"
The final, complete set of legally binding papers that record the terms, disclosures and obligations for a transaction, filing, or corporate action. Like a signed contract or the finished blueprint after many drafts, definitive documentation replaces preliminary versions and is filed with regulators or exchanged between parties; it matters to investors because it contains the authoritative details on deal terms, required approvals, financial impacts and risks that affect ownership and value.
redeem financial
"use the proceeds ... to redeem the Existing Notes"
To redeem means to exchange a financial instrument—like a bond, preferred share, voucher, or convertible security—for cash or its agreed value when the issuer or holder triggers repayment. Investors care because redemption changes who holds the investment, when they get paid, and how much cash a company must use, affecting yield, ownership stakes and short‑term liquidity much like cashing a coupon or getting a loan repaid.
