Rhea-AI Filing Summary

Forgent Power Solutions, Inc. (FPS) appointed Amy Ard chief financial officer effective October 21, 2026, succeeding Ryan Fiedler, who stepped down that day. Fiedler will remain employed to assist with the transition and depart effective October 30, 2026; the company announced he will move to an external consulting role.

Forgent expects an employment agreement with Ard to provide for an initial five-year term with automatic one-year renewals, a $550,000 annual base salary, and eligibility for an annual cash bonus of up to 85% of base salary. A one-time equity grant with a target aggregate grant date value of $500,000 is scheduled for November 1, 2026, split 50% restricted stock units and 50% stock options. Fiedler’s unvested incentive units remain outstanding and vest under their terms, with payouts capped by the reserve amount attributable to those units as of October 21, 2026, subject to the separation agreement.

Filing Explained

Instead of the severance payments and benefits under his employment agreement, Fiedler is to receive salary earned but unpaid through October 30, 2026, plus a lump sum for accrued unused vacation, if payable under company policies.

incentive units financial
"currently outstanding unvested incentive units"
Incentive units are ownership stakes a company grants to employees, contractors or advisors as part of pay, which become valuable only after certain conditions are met (for example, after a period of time or when performance targets are hit). They matter to investors because they create potential future claims on profits or ownership—similar to performance-based coupons that convert into a slice of the business—and can dilute existing holders or change incentives for management.
restricted stock units financial
"comprised of 50% restricted stock units"
Restricted stock units are a type of company reward where employees are promised shares of stock, but they only fully own these shares after meeting certain conditions, like staying with the company for a set time. They matter because they can become valuable assets and are often used to motivate employees to help the company succeed.
stock options financial
"and 50% stock options"
Stock options are agreements that give a person the right to buy or sell a company's stock at a specific price within a certain time frame. They are often used as a reward or incentive, similar to a coupon that can be used later if the stock price rises, allowing the holder to make a profit.
Change in Control financial
"including following a Change in Control"
A "change in control" occurs when the ownership or management of a company shifts significantly, such as through a merger, acquisition, or sale of a large part of its assets. This change can impact how the company is run and may influence its future direction. For investors, it matters because it can affect the company's stability, strategy, and value, often signaling potential changes in investment risk or opportunity.
target aggregate grant date value financial
"with a target aggregate grant date value of $500,000"
