Rhea-AI Filing Summary

Freight Technologies, Inc. (FRGT) approved a 1-for-10 reverse split of its ordinary shares, reducing outstanding shares from 16,814,200 to 1,681,420. The shares will begin trading on a split-adjusted basis on October 19, 2026. The company says the split is intended to help satisfy Nasdaq’s $1.00 minimum bid price requirement for continued listing.

The split will not change the number of authorized ordinary shares. Holders otherwise entitled to a fractional share of one-half or more are entitled to an additional fractional share to round up to a whole share; fractions below one-half will be canceled.

Filing Explained

The reported post-split total of about 1.68 million ordinary shares excludes shares issuable under outstanding options and warrants, so it does not count those potential additional shares.

reverse share split technical
"approved a one (1) for ten (10) reverse split"
A reverse share split is when a company reduces the number of its shares outstanding by combining multiple shares into one, effectively increasing the price of each share. For investors, this can help improve the company's image or meet stock exchange listing requirements, but it does not change the total value of their investment. It’s similar to turning many small pieces of a puzzle into fewer larger pieces—nothing new is added or lost, just rearranged.
split adjusted basis market
"begin trading on a split adjusted basis"
fractional share technical
"hold a fractional share of one-half or more"
A fractional share is a portion of a single stock that is worth less than one full share, like owning a slice of a pizza instead of the whole pie. It lets investors buy and hold part of expensive stocks or spread small amounts of money across many companies, which helps with diversification and regular investing; dividends and price changes affect fractional shares proportionally, though some rights and trading rules can vary by provider.
minimum bid price requirement regulatory
"satisfy the $1.00 minimum bid price requirement"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
Split Ratio 1-for-10 reverse split
Effective Date October 19, 2026

Reverse Split

On October 8, 2026, the board of directors of Freight Technologies, Inc. (the “Company”) approved a one (1) for ten (10) reverse split of its issued and outstanding ordinary shares, no par value (the “Ordinary Shares”). The Company’s Ordinary Shares will begin trading on a split adjusted basis on October 19, 2026.

As a result of the reverse share split, each ten (10) pre-split Ordinary Shares of the Company will automatically combine into one (1) Ordinary Share without any action on the part of the holders, and the number of outstanding Ordinary Shares will be reduced from 16,814,200 to 1,681,420. The Company’s Ordinary Shares will continue to trade on the Nasdaq Capital Market (the “Nasdaq”) under the symbol “FRGT” but will trade under a new CUSIP number G51413170.

No fractional shares will be issued as a result of the reverse share split. Shareholders who otherwise would be entitled to a fractional share because they hold a number of Ordinary Shares not evenly divisible by the one (1) for ten (10) reverse split ratio, will automatically be entitled to receive an additional fractional share of the Company’s Ordinary Shares to round up to the next whole share if they were to hold a fractional share of one-half or more. Shareholders who hold a fractional share equal to less than one-half will have the fractional share cancelled.

The reverse share split is intended to increase the per share trading price of the Ordinary Shares to satisfy the $1.00 minimum bid price requirement for continued listing on the Nasdaq. Following the reverse share split the Company will have approximately 1.68 million Ordinary Shares issued and outstanding, exclusive of shares issuable under outstanding options and warrants. The reverse share split will not affect the number of total authorized Ordinary Shares of the Company.
