Rhea-AI Filing Summary

Goldman Sachs Group Inc. (GS) is offering notes linked to the BlackRock® Dynamic Factor Index, which tracks a rules-based portfolio of up to five equity ETFs, up to three Treasury bond ETFs, and a cash constituent. The index measures how this portfolio performs after subtracting the sum of (i) the Secured Overnight Financing Rate (SOFR) plus 0.26161% and (ii) an additional 0.65% per annum fee, both accruing daily.

Equity ETF weights are set using factor signals (economic regime, value, momentum), while fixed income ETF weights follow medium-term interest-rate trends. Overall allocations among equities, bonds and cash are adjusted daily to target no more than 5% volatility, which can lead to large cash positions; historically, cash has reached up to 85.5% of the index. From January 1, 2021 to August 3, 2026, the index showed -2.37% annualized performance with 4.95% annualized volatility, compared with 15.36% and 16.66% respectively for the iShares® Core S&P 500 ETF. On December 28, 2021 the reference rate changed from 3‑month USD LIBOR to SOFR + 0.26161%, leaving limited post-SOFR performance history. Extensive risk factors highlight that the index may be heavily in cash, may not achieve its volatility target, and that factor and rate-based methodologies may underperform.

Filing Explained

The addendum updates index-linked note exposure; August 3 weightings included 30.54% each in two Treasury ETFs and 17.50% cash.

The August 26 addendum describes an offer of securities linked to the BlackRock® Dynamic Factor Index, so the disclosed holder exposure is to the index-linked notes rather than a stated issuance of Goldman Sachs common stock. The document states that it may be used for an initial sale or for affiliate market-making, but it does not report that a sale or issuance has occurred.

The index combines equity ETFs, fixed-income ETFs and a cash constituent, then subtracts daily SOFR plus 0.26161% and an additional 0.65% annual fee from the underlying-asset return. Daily allocations seek to limit volatility to no more than 5%, which can reduce exposure to the ETFs and increase the cash allocation.

As of August 3, 2026, the disclosed weighting was 30.54% in the iShares® 1-3 Year Treasury Bond ETF, 30.54% in the iShares® 7-10 Year Treasury Bond ETF and 17.50% in the cash constituent; the remaining listed exposure was spread across five equity ETFs and no allocation to the Quality or 20+ Year Treasury ETFs.

The current weights are updated from time to time, and the filing cautions that the benchmark ETFs shown in its performance table may not be actual underlying assets of the index.

A secured overnight financing rate (SOFR) is the interest rate on very short, one‑day loans that are backed by high‑quality collateral (like government bonds), so lenders face less risk. Investors care because SOFR is a widely used benchmark that sets the cost of borrowing and the pricing of loans, bonds and derivatives; think of it as a trusted yardstick for short‑term interest costs that influences returns and valuations across markets.

FAQ

What does the BlackRock Dynamic Factor Index linked to GS notes aim to track?

It tracks a rules-based mix of equity factor ETFs, U.S. Treasury bond ETFs, and a cash constituent, and measures the extent to which that portfolio outperforms the sum of SOFR + 0.26161% plus an additional 0.65% per annum fee, all accruing daily.

How has the BlackRock Dynamic Factor Index performed versus the S&P 500 proxy (IVV) since 2021?

From January 1, 2021 to August 3, 2026, the index had -2.37% annualized performance, while the iShares® Core S&P 500 ETF (IVV) returned 15.36% annualized. Over the same period, the index’s annualized realized volatility was 4.95% versus 16.66% for IVV.

What volatility target does the BlackRock Dynamic Factor Index use?

Allocations among equity ETFs, fixed income ETFs and the cash constituent are reset on each index business day to target no more than 5% volatility, based on past returns. To meet this target, the index can shift substantially into cash and away from ETFs.

How much of the BlackRock Dynamic Factor Index has recently been allocated to cash?

The cash constituent can be large; the disclosure states that in the recent past, a very significant portion of the index, up to 85.5%, has been allocated to cash. As of August 3, 2026, the cash weighting shown was 17.50% with an average of 24.6%.

What change was made from LIBOR to SOFR for the BlackRock Dynamic Factor Index?

On December 28, 2021, the index discontinued use of 3‑month USD LIBOR and replaced it with SOFR plus 0.26161% as the notional interest rate. The issuer notes that there is extremely limited performance history for the index after this change.

What are key risk considerations for GS notes linked to the BlackRock Dynamic Factor Index?

Risks include that the index measures performance after deducting a notional rate plus 0.65% per annum, may be heavily in cash, may not meet its 5% volatility target, uses factor and CFNAI-based signals that may fail, and relies on third-party data and algorithms.

BlackRock® Dynamic Factor Index

The BlackRock® Dynamic Factor Index (the index) measures the extent to which the performance of the combination of an equity ETF basket composed of up to five equity ETFs, a fixed income ETF basket composed of up to three fixed income ETFs and a cash constituent (together with the ETFs, the underlying assets) outperforms the sum of the return on (i) the Secured Overnight Financing Rate (SOFR) plus 0.26161% plus (ii) an additional 0.65% per annum fee (accruing daily). The weights of the ETFs within the equity ETF basket are determined based on three common economic measures (factors) – “economic regime”, “value” and “momentum”, while the weights of the ETFs within the fixed income ETF basket are determined based on how medium-term interest rates are trending. The relative weights of the equity ETF basket, the fixed income ETF basket and the cash constituent that compose the index are determined based on measures of volatility using the past returns of the ETFs (i.e., the degree of variation in past returns given the various weightings of these components). The equity ETF basket rebalances monthly and the fixed income ETF basket rebalances on each index business day. Allocations of the index among the equity ETF basket, the fixed income ETF basket and the cash constituent are determined on each index business day with a goal of limiting volatility (i.e., the degree of variation in the past returns) to no more than 5%.

As a result of such allocations, the index may include limited exposure to the ETFs and may allocate a significant portion of its exposure to the cash constituent, the return on which will be less than the sum of the return on (i) SOFR plus 0.26161% plus (ii) 0.65% per annum. In the recent past, a very significant portion (up to 85.5%) of the index has been allocated to the cash constituent. The greater the percentage of the index allocated to the cash constituent, the higher the return that will be required on the ETFs in order to have a return on your investment.

Because the index measures the performance of the selected underlying assets less the sum of the return on (i) SOFR plus 0.26161% plus (ii) 0.65% per annum (accruing daily), on any day such underlying assets must outperform the return on (i) SOFR plus 0.26161% plus (ii) 0.65% per annum for the index level to increase.

Prior to December 28, 2021, the index measured the extent to which the performance of the combination of the underlying assets outperformed the sum of the return on 3-month USD LIBOR plus an additional 0.65% per annum fee (accruing daily). Further, prior to such date, the cash constituent reflected notional returns accruing to a hypothetical investor from an investment in a notional money market account that accrued interest at 3-month USD LIBOR, which return was less than the return on the sum of 3-month USD LIBOR plus 0.65% per annum. As a result, extremely limited historical information regarding the performance of the index subsequent to its discontinued use of 3-month USD LIBOR is available, which may make it difficult for you to make an informed decision with respect to an investment in the notes.
