Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

T Stamp Inc. (IDAI) entered into an agreement with Maxim Group LLC for an at-the-market offering of up to $5,323,474 worth of common stock. Maxim may act as sales agent or principal, with sales made from time to time under the company’s instructions, including any specified minimum price, time, or size limits. Permitted methods include at-the-market sales and privately negotiated transactions.

Sales are subject to the effectiveness of the registration statement and Form S-3 “baby shelf” limitations, as well as customary closing conditions. T Stamp is not obligated to make sales, and no assurance is given that sales will occur. The company will pay Maxim a 3.0% commission on each sale’s aggregate gross proceeds, reimburse specified expenses up to $40,000 in aggregate, and pay up to $3,000 quarterly for counsel fees and incidental expenses. Either party may terminate by mutual agreement on 15 days’ written notice.

Filing Explained

The agreement permits, but does not require, sales of common shares; this filing does not establish that shares were issued, and any shares issued would increase the share count and reduce existing holders’ percentage ownership absent offsetting changes.

"any method deemed to be an “at the market” offering"
“At the market” describes a method companies use to sell newly issued shares directly into the open market at whatever the current trading price is, usually through a broker who places shares in small amounts over time. Investors care because it can reduce each existing shareholder’s ownership percentage and increase the number of shares outstanding, while giving the company a flexible, quick way to raise cash — like adding single seats to a train instead of buying a whole new carriage.
baby shelf regulatory
"“baby shelf” limitations under General Instruction I.B.6. of Form S-3"
privately negotiated transactions financial
"including in privately negotiated transactions"
Privately negotiated transactions are deals made directly between parties without involving a public marketplace or open auction. They are like private sales between two individuals rather than items sold at a busy marketplace open to everyone. For investors, these transactions can offer more tailored terms and privacy, but they may also carry different risks and less transparency compared to public exchanges.
