Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Intrusion Inc. (INTZ) agreed to exchange $4,000,000 of partitioned secured-note principal owed to Streeterville Capital for 4,000 Series B preferred shares. Upon issuance of the shares and surrender of the notes, the partitioned notes will be cancelled; no monetary consideration was exchanged beyond that surrender and cancellation.

Series B has a $1,100 stated value per share and accrues a 10% annual preferred return, payable quarterly in cash or additional shares at Intrusion’s election. It is non-voting except as required by law or for specified amendments, is non-convertible into common stock, and ranks senior to common stock for dividends, distributions and liquidation payments. The designation sets aside 10,000 authorized preferred shares as Series B and restricts debt, equity issuance, reverse splits other than for Nasdaq compliance, and fundamental transactions without majority consent. Intrusion estimates stockholders’ equity exceeds $5.0 million and believes it meets prerequisites to request a second 180-calendar-day Nasdaq compliance period, but the $1.00 minimum bid-price deficiency remains; Nasdaq may deny the period, and the company says compliance is not assured.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

Nasdaq has not granted the second extension in this filing; Intrusion says a reverse split remains a possible way to address the one-dollar bid-price gap.

Intrusion says it intends to notify Nasdaq that it will seek to cure the $1.00 minimum-bid-price deficiency during a second 180-calendar-day period, potentially using a reverse split; this filing does not report that Nasdaq has granted the period.

If used, a reverse split would reduce the share count and raise the per-share price proportionally; the split itself does not change company value.

At June 30, 2026, Intrusion had $182,000 in cash, compared with $3,590,000 of operating cash use in the second quarter; that cash balance equals 4.6 days of operating cash use at that quarter’s rate.

partition financial
"partition a new secured promissory note"
Stated Value financial
"par value of $0.01 per share and Stated Value of $1,100.00 per share"
Stated value is an accounting figure a company assigns to a share when the share has no par (legal) value; it becomes the portion of proceeds recorded as the company’s permanent capital for regulatory and bookkeeping purposes. It matters to investors because it affects the equity reported on the balance sheet and the legal limits on distributions or dividend payments, but it is not the market price — think of it as a record-keeping sticker price rather than what buyers actually pay.
preferred return financial
"accrues a 10% per annum preferred return on Stated Value"
Preferred return is a minimum annual return that certain investors are promised before the manager or owner shares in profits; think of it as the first slice of earnings that gets paid out like a priority lane. It matters to investors because it reduces downside risk and sets a performance benchmark — managers only earn their performance-based share after this preferred amount is delivered, so it affects expected cash flow timing and alignment of incentives.
protective covenants financial
"The Certificate of Designations contains protective covenants"
minimum bid price requirement regulatory
"$1.00 minimum bid price requirement"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.

FAQ

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

How much debt is INTZ exchanging for Series B preferred stock?

Intrusion agreed to exchange $4,000,000 in aggregate principal debt for 4,000 Series B preferred shares. The exchange comprises 3,250 shares for one partitioned note and 750 shares for the other. The notes will be cancelled upon issuance of the preferred shares and surrender of the notes.

What are the dividend and voting terms of INTZ Series B preferred stock?

Each share has a $1,100 stated value and accrues a 10% per annum preferred return, payable quarterly in cash or additional Series B shares at Intrusion’s election. An automatic quarterly dividend begins on the one-year anniversary of issuance. The shares are non-voting except as required by law or for specified amendments, and are non-convertible into common stock.

What is Intrusion’s Nasdaq compliance status after the exchange?

Intrusion estimates stockholders’ equity exceeds $5.0 million and believes it meets the prerequisites to request a second 180-calendar-day extension to regain compliance with the $1.00 minimum bid-price requirement. It intends to notify Nasdaq of its plan to cure the deficiency, including by a reverse stock split if necessary. Nasdaq may not grant the extension, and compliance is not assured.

Stockholders’ Equity & Nasdaq Minimum Bid Price Compliance Update

As a result of the debt-for-equity exchange described in Item 1.01 as of the date of this Current Report on Form 8-K, the Company estimates that its stockholders’ equity exceeds $5.0 million. By demonstrating $5.0 million in stockholders' equity and meeting the applicable market value of publicly held shares requirement for continued listing and all other applicable initial listing criteria for The Nasdaq Capital Market (with the exception of the minimum bid price requirement), the Company believes it satisfies the prerequisites to request a second 180-calendar-day extension period from Nasdaq under Nasdaq Listing Rule 5810(c)(3)(A) to regain compliance with the $1.00 minimum bid price requirement set forth in Nasdaq Listing Rule 5550(a)(2). The Company intends to provide written notice to Nasdaq of its intention to cure the minimum bid price deficiency during such secondary compliance period, including by implementing a reverse stock split if necessary.

Nasdaq will continue to monitor the Company's compliance with all applicable listing criteria. There can be no assurance that Nasdaq will grant an additional compliance period or that the Company will maintain or regain compliance with applicable listing standards.
