Rhea-AI Filing Summary

Kimberly-Clark Corporation (KMB) completed a private offering of $4.9 billion aggregate principal amount of senior unsecured notes in connection with its proposed acquisition of Kenvue. The five tranches bear annual interest rates from 5.100% to 5.800% and mature from October 29, 2028, through October 29, 2036, with the 2034 notes maturing January 29, 2034. Kimberly-Clark intends to use net proceeds, together with cash on hand and/or commercial-paper borrowings, for the acquisition cash consideration and related fees and expenses; any remaining net proceeds are intended for general corporate purposes.

The notes rank equally in right of payment with Kimberly-Clark’s existing and future unsecured senior obligations. All outstanding notes must be redeemed at 101% of principal plus accrued and unpaid interest if the acquisition has not been consummated before the date five business days after the later of May 31, 2027, or any later agreed Outside Date, or if Kimberly-Clark notifies the trustee it will not pursue the acquisition. The issuance also resulted in termination of the remaining $3.9 billion of bridge-loan commitments. Under a registration rights agreement, Kimberly-Clark agreed to use commercially reasonable efforts to complete a registered exchange offer within 365 days after the acquisition closes.

Filing Explained

A registration default can add interest to the notes, with a resale-shelf failure threshold of more than ninety days in a twelve-month period.

The filing reports that the notes were issued and says Kenvue would guarantee them if the acquisition closes and the exchange offers are withdrawn or remain incomplete four business days after their expiration.

The company must pay additional interest if the exchange offer is not completed within 365 days after the acquisition closes, or if a required shelf registration statement is not effective by the applicable deadline or remains ineffective for more than 90 days in a 12-month period.

For investors it matters because it ends the expected income stream and returns principal at a pre-set price, potentially altering returns, tax outcomes and a company’s cash needs — like a lender calling a loan back when rules change.

The Notes were issued under the First Amended and Restated Indenture (as amended by the first, second and eighth supplemental indentures dated as of November 6, 1992, May 25, 1994 and October 27, 2021, respectively, the “Base Indenture”), dated as of March 1, 1988, by and among the Corporation and The Bank of New York Mellon Trust Company, N.A. The Notes are the Corporation’s general, unsecured senior obligations, and rank equally in right of payment with all of the Corporation’s existing and future unsecured senior indebtedness, liabilities and other obligations, including the Corporation’s existing senior notes.

The Offering was conducted in connection with the Corporation’s previously announced proposed acquisition (“Acquisition”) of Kenvue Inc. (“Kenvue”). The Corporation intends to use the net proceeds from the Offering, together with cash on hand and/or borrowings under its commercial paper program, to fund the cash consideration payable in connection with the Acquisition, and to pay related fees and expenses. In addition, if (i) the Acquisition has not been consummated prior to the date that is five business days after the later of (x) May 31, 2027 or (y) any later date as the parties to the Acquisition agreement may agree as the “Outside Date” thereunder or (ii) the Corporation notifies the trustee for the Notes that the Corporation will not pursue the consummation of the Acquisition, then the Corporation will be required to redeem all outstanding Notes at a special mandatory redemption price equal to 101% of the aggregate principal amount of the Notes, plus accrued and unpaid interest, if any, to, but not including, the applicable special mandatory redemption date.

Kenvue Guarantees

As previously reported, in connection with the Acquisition, on September 28, 2026, the Corporation commenced an offer to exchange all of Kenvue’s existing senior notes in exchange for new senior notes to be issued by the Corporation (the “Exchange Offers”) pursuant to a confidential offering memorandum and consent solicitation statement. If (i) the Exchange Offers are withdrawn (but the Acquisition has been consummated and the Notes are issued and outstanding) or (ii) if the Acquisition is consummated, the Notes are issued and outstanding and the Exchange Offers are not completed within four (4) business days after the expiration date of the Exchange Offers (as may be extended pursuant to the terms described in the offering memorandum and consent solicitation statement), the Notes will be fully and unconditionally guaranteed (the “Kenvue Guarantees”), on an unsubordinated unsecured basis, by Kenvue (or its successor, as applicable). This Current Report on Form 8-K does not constitute an offer to exchange with respect to the Exchange Offers and shall not constitute an offer, solicitation or sale in any jurisdiction in which such offer, solicitation or sale would be unlawful.

Covenants and Events of Default

The Indenture contains covenants that, among other things, limit the ability of the Corporation and its restricted subsidiaries to issue, assume or guarantee specified secured debt, enter into sale and leaseback transactions with respect to any principal properties and consolidate with, merge into, or sell or transfer all or substantially all of its property and assets to, any other corporation. The Indenture also provides for customary events of default.

The foregoing description of the Notes, the Kenvue Guarantees, the Indenture and the Eleventh Supplemental Indenture are summaries and are qualified in their entirety by reference to such documents, which are attached as Exhibits 4.1, 4.2, 4.3, 4.4, 4.5, 4.6 and 4.7 to this Current Report on Form 8-K, respectively, and incorporated herein by reference.

LLC, as representatives of the initial purchasers of the Notes, entered into a registration rights agreement with respect to the Notes (the “Registration Rights Agreement”). The Corporation agreed under the Registration Rights Agreement to, among other things, use its commercially reasonable efforts to (i) file a registration statement on an appropriate registration form with respect to a registered offer to exchange the Notes for new notes, with terms substantially identical in all material respects to the Notes (except that the new Notes will not contain terms with respect to transfer restrictions and additional interest (as described below)), (ii) cause such registration statement to be declared effective under the Securities Act and (iii) complete the registered exchange offer within 365 days after the closing of the Acquisition. In addition, the Corporation has agreed to use commercially reasonable efforts to file, under certain circumstances, a shelf registration statement to cover resales of the Notes under the Securities Act. The Corporation shall be obligated to pay additional interest on the Notes if (A) the Corporation has not consummated the exchange offer within 365 days after the closing of the Acquisition, or, if a shelf registration statement is required and has not been declared effective under the Securities Act, on or prior to the later of (i) 365 days after the closing of the Acquisition and (ii) 365 days after the date, if any, on which the Corporation became obligated to have the shelf registration statement declared effective under the Securities Act pursuant to the Registration Rights Agreement; or (B) if applicable, a shelf registration statement covering resales of the Notes has been declared effective and such shelf registration statement ceases to be effective at any time during the effectiveness period (subject to certain exceptions) and such failure to remain effective exists for more than 90 days (whether or not consecutive) in any 12-month period during the effectiveness period.
