Rhea-AI Filing Summary

Kimberly-Clark Corporation (KMB) completed its exchange offers on November 4, 2026, exchanging accepted Kenvue notes for new Kimberly-Clark notes and, for early tenders, cash. The offers covered up to $7,000,000,000 aggregate principal amount of new notes. Accepted Kenvue notes were canceled. After settlement, Kenvue notes outstanding were $260,653,000 due 2028, $153,011,000 due 2030, $47,294,000 due 2032, $97,383,000 due 2033, $21,623,000 due 2043, $21,927,000 due 2053 and $22,070,000 due 2063.

On November 2, 2026, Kenvue assumed $7,000,000,000 aggregate principal amount of Kenvue notes upon the merger. Amendments operative November 4 eliminated substantially all restrictive covenants, certain events of default except for failure to pay principal, premium or interest, and the SEC reporting covenant for the Kenvue notes. Kimberly-Clark's new notes are unsecured senior obligations, rank equally with its unsecured senior debt and are effectively subordinated to secured debt to the extent of the value of the assets securing it.

Filing Explained

Exchange Consideration financial
"the “Exchange Consideration,” an early participation premium"
Early Participation Date financial
"on October 9, 2026 (the “Early Participation Date”)"
An early participation date is the deadline by which shareholders or investors must sign up if they want to take part in a corporate action—such as a rights issue, tender offer, share buyback or dividend reinvestment—before the main deadline or record date. It matters because signing up by that date can secure priority allocation, a set price, or other benefits, much like buying an early‑bird ticket to guarantee a seat and price before general sales open. Missing it can mean losing the preferred terms or being excluded.
restrictive covenants financial
"eliminate substantially all of the restrictive covenants"
Restrictive covenants are contract terms that limit what a company, its executives, or shareholders can do—like rules that prohibit selling stock, starting a rival business, or taking on certain debts. Think of them as house rules that protect one party’s interests by keeping risky or competitive actions off the table. For investors they matter because these limits affect a company’s flexibility, governance, potential future value and the ease of exiting an investment.
Event of Default financial
"may lead to an “Event of Default”"
An event of default is a specific breach of a loan or bond agreement—such as missed payments or breaking agreed rules—that gives lenders the legal right to act, for example by demanding immediate repayment, seizing collateral, or accelerating other obligations. For investors, it’s a red flag because it can sharply reduce a company’s ability to operate or raise money, like a car lender repossessing a vehicle after missed payments, and often leads to falling share or bond prices.
effectively subordinated financial
"will be effectively subordinated to all of Kimberly-Clark’s existing and future secured indebtedness"
Debt or claims that are not legally listed as lower priority but, in practice, will be paid after other creditors because of the company’s structure or secured claims. Think of it like standing behind people who are already in line: even if your ticket says you’re next, the way the lines are organized means others get served first, so your chance of getting paid in a default is reduced accordingly.

FAQ

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

What did KMB offer for each $1,000 of Kenvue notes?

For each $1,000 principal amount validly tendered and accepted by the Early Participation Date, eligible holders could receive $970 principal amount of Kimberly-Clark notes, a $30 premium in notes and $1 in cash. For tenders after October 9, 2026, and by the November 2, 2026 expiration, eligible holders could receive the $970 principal amount and $30 premium.

What triggers additional interest on KMB's new notes?

Additional interest applies if the exchange offer is not consummated within 365 days after the November 4, 2026 settlement. If a shelf registration is required, the effectiveness deadline is the later of 365 days after settlement and 365 days after Kimberly-Clark becomes obligated to have it declared effective. Additional interest also applies if an effective shelf lapses for more than 90 days, consecutive or not, in any 12-month period, subject to exceptions.

The Kimberly-Clark Notes will be issued in minimum denominations of $2,000 and integral multiples of $1,000 in excess thereof. Kimberly-Clark will not accept any tender that would result in the issuance of less than $2,000 principal amount of any series of Kimberly-Clark Notes.

Each series of Kimberly-Clark Notes will have the same interest rate, interest payment dates, maturity date and optional redemption prices as the corresponding series of Kenvue Notes. No accrued and unpaid interest is payable upon acceptance of any Kenvue Notes for exchange in the Exchange Offers and Consent Solicitations. However, the first interest payment on any Kimberly-Clark Notes will include the accrued and unpaid interest on the Kenvue Notes tendered in exchange therefor so that a tendering Eligible Holder (as defined below) will receive the same interest payment it would have received had its Kenvue Notes not been tendered in the Exchange Offers and Consent Solicitations. For the avoidance of doubt, Kenvue will remain responsible for paying any interest that accrues on any Kenvue Notes and is payable on any interest payment date occurring prior to the Settlement Date, as well as any interest that is required to be paid on Kenvue Notes that remain outstanding following the Settlement Date. The Kimberly-Clark Notes will be general, unsecured senior obligations of Kimberly-Clark and will rank equally in right of payment with all of Kimberly-Clark’s existing and future unsecured senior indebtedness, liabilities and other obligations and will be effectively subordinated to all of Kimberly-Clark’s existing and future secured indebtedness to the extent of the value of the assets securing such indebtedness.
