Filing Explained

The launch changes the subsidiary’s proposed preferred-capital structure, not the parent’s disclosed common ownership; pricing, proceeds, and closing remain unresolved.

On September 22, 2026, Medallion Bank, Medallion Financial’s wholly owned subsidiary, announced the launch of a public offering of additional Series G preferred stock. The disclosure is at the launch stage rather than a completed sale; the Bank says it is and will remain wholly owned by Medallion Financial upon completion, so the filing describes proposed preferred capital at the subsidiary, not an issuance of the parent’s common stock.

The Series G securities are fixed-rate reset, non-cumulative, perpetual preferred stock with a liquidation amount of $25 per share. The offering is being arranged through underwriters, and the Bank expects to grant them a 30-day option to buy additional shares solely for over-allotments, if any; that option is described as prospective rather than as an exercised purchase.

The intended use of net proceeds is general corporate purposes, potentially including redemption of some or all Series E preferred stock, but any such redemption requires prior FDIC approval. Because the filing gives no offering size, price, gross or net proceeds, or proposed redemption amount, the transaction’s economic scale cannot be established from this disclosure.

The offering is described as exempt from Securities Act registration under Section 3(a)(2) and available only through an offering circular. The press release is furnished under Item 7.01 rather than filed, and the filing says it will not be incorporated into a Company registration statement unless specifically identified there.

The key follow-up items are completion on the stated terms, any grant or use of the over-allotment option, and FDIC approval of any Series E redemption; the filing gives no assurance that those steps will occur.

Item 7.01 Regulation FD Disclosure Disclosure
Material non-public information disclosed under Regulation Fair Disclosure, often investor presentations or guidance.
Item 9.01 Financial Statements and Exhibits Exhibits
Financial statements, pro forma financial information, or exhibit attachments filed with this report.
