On January 2, 2026, Patricia W. Warfield resigned her position as a member of (i) the Board of Directors (the “Board”) of Motorcar Parts of America, Inc. (the “Company”), and (ii) the Human Resources and Compensation Committee of the Board due to personal/professional commitment reasons. Ms. Warfield’s resignation was not due to any disagreement with the Company’s operations, policies or procedures.
