Insights

MUFG granted a deferred stock-based award to a senior executive.

Mitsubishi UFJ Financial Group granted Managing Corporate Executive Kensuke Tokuma 5,796 Stock Compensation Plan Points, each exchangeable for one common share after retirement. The award covers service from July 2026 to June 2027 and increases his total plan points to 53,158.

This is a compensation-related, non-cash acquisition rather than an open-market purchase or sale. A board incentive plan trust holds the underlying shares, and the award is subject to clawback and forfeiture for cause, aligning payouts with continued service and conduct.

After Tokuma retires from the relevant position, the trust will sell 50% of the shares in a pre-arranged open market sale in Japan, delivering cash proceeds plus the remaining 50% of the shares. This structure spreads liquidity between cash and equity, with valuation depending on MUFG's share price at that future time.
