Rhea-AI Filing Summary

NewcelX Ltd. (NCEL) entered into a binding term sheet for REA Holdings Inc.’s proposed acquisition of its worldwide Mazindol portfolio. The term sheet provides $500,000 in attributed upfront consideration: $30,000 in cash and the remainder in shares representing 9.4% of REA’s fully diluted equity following closing. NewcelX would also be eligible for up to $55 million in potential development, regulatory and commercial milestone payments and tiered royalties of 2% to 8% on annual global net sales.

The proposed transaction remains subject to definitive documentation, customary closing conditions, and applicable corporate and CVR requirements. After completion, REA would assume responsibility for future patent maintenance, development, regulatory activities, financing and commercialization costs arising from its operations, subject to definitive documentation. NewcelX states that its financial position raises substantial doubt about its ability to continue as a going concern.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

This 6-K incorporates by reference the first, third, fourth, fifth and sixth paragraphs of the November 4, 2026 release into NewcelX’s identified Form F-3 registration statements, from the date this report was submitted.

Attributed upfront consideration $500,000 Under the binding term sheet
Cash consideration $30,000 Part of the attributed upfront consideration
REA fully diluted equity stake 9.4% Following closing
Potential milestone payments Up to $55 million Potential development, regulatory and commercial milestone payments
Tiered royalties 2% to 8% On annual global net sales of Mazindol products
contingent value rights financial
"contingent value rights (“CVR”) holders"
Contingent value rights are special financial instruments that give their holder the potential to receive additional payments if certain future events or conditions happen, such as the achievement of specific business milestones. They are like a promise of extra rewards that depend on how well a project or company performs later on. Investors care about them because they offer a chance for extra gains but also carry uncertainty, as the extra payments are not guaranteed.
fully diluted equity financial
"9.4% of REA’s fully diluted equity following closing"
Fully diluted equity is the total number of a company’s shares after converting all potential shares that could exist—such as stock options, warrants, convertible debt and restricted stock—into common stock. Investors care because it shows the worst-case size of the ownership pie and how much each share could be diluted, which affects per-share metrics like earnings and ownership percentage; think of it as the final headcount if every ticket-holder claimed a seat.
tiered royalties financial
"tiered royalties ranging from 2% to 8%"
Tiered royalties are a payment structure where the percentage of earnings paid as royalties changes based on different levels of sales or production. For example, a company might pay a smaller percentage on initial sales and a higher percentage as sales increase beyond certain points. This system encourages higher sales by adjusting payments, making it important for investors to understand how revenue sharing may vary as a product or project grows.
milestone payments financial
"potential development, regulatory and commercial milestone payments"
Milestone payments are predetermined sums a company agrees to pay or receive when specific development, regulatory, or commercial goals are reached in a partnership or license deal. Think of them like progress bonuses: they turn uncertain future outcomes into conditional cash events, so investors track them as potential sources of revenue, value inflection points, and risk—payments only arrive if the agreed milestones are actually achieved.

Strategic divestiture of legacy CVR assets supports NewcelX’s cell-therapy focus while preserving potential future value for CVR holders and NewcelX

ZURICH, November 4, 2026 (GLOBE NEWSWIRE) - NewcelX Ltd. (Nasdaq: NCEL), a regenerative medicine company developing stem-cell-derived therapies for Type 1 Diabetes (T1D), today announced that it has entered into a binding term sheet for the proposed acquisition of its worldwide Mazindol asset portfolio (the “CVR assets”) with REA Holdings Inc. (“REA”)1, for upfront cash, equity and up to $55 million in potential milestone payments.

NewcelX selected REA to lead future development and commercialization while preserving potential value for contingent value rights (“CVR”) holders and NewcelX, following an extensive search for a buyer.

The binding term sheet provides for $500,000 in attributed upfront consideration, consisting of $30,000 in cash and the remainder in shares representing 9.4% of REA’s fully diluted equity following closing.

Under the binding term sheet, NewcelX would also be eligible to receive up to $55 million in potential development, regulatory and commercial milestone payments, plus tiered royalties ranging from 2% to 8% on annual global net sales of Mazindol products.

Amounts payable to CVR holders will be determined under the CVR agreement, applicable law and will be net of costs that NewcelX is entitled to deduct.

The transaction remains subject to entry into definitive documentation, customary closing conditions, and applicable corporate and CVR requirements.

Advancing NewcelX’s Strategic Priorities

“We invested significant effort in finding the right buyer for the legacy Mazindol CVR assets, one with the business experience, and execution capabilities to advance the portfolio and realize Mazindol’s full potential,” said Ronen Twito, Chief Executive Officer and Chairman of NewcelX. “We believe REA’s team, to be led by Ronald Hafner, the former Chairman of our predecessor NLS Pharmaceutics, is going to be well positioned to drive this opportunity forward while we maintain our focus on our core cell-therapy pipeline, led by NCEL-101 for Type 1 diabetes.”

Mr. Twito concluded, “Importantly, this structure is expected to enable Mazindol advancement without NewcelX funding its development, while preserving potential meaningful upside for both CVR holders and NewcelX through equity, milestones and royalties.”
