How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

Two hundred seventy-five thousand one hundred ten merger shares vest monthly from month twenty-two through thirty-six, subject to continued employment unless terminated without cause.

This 8-K reports that the Blocksight merger closed on October 27, 2026 and the executive employment letters took effect; OpenWorld guarantees Blocksight’s payment and performance obligations under both letters.

The letters set monthly base pay at $20,833.33 for Patrick Kim and $29,166.67 for Sungmeen Hong. Each also provides signing, six-month, and twelve-month bonuses of $357,350 per payment for Kim and $142,650 per payment for Hong; those payments do not depend on continued employment, and the signing bonuses are unconditional regardless of financing. Retention bonuses of $536,025 per payment for Kim and $213,975 per payment for Hong are payable at 24 and 36 months only if each remains employed through the payment date.

The 275,110 restricted merger shares vest monthly from the 22-month anniversary through the 36-month anniversary, subject to continued employment unless the seller is terminated without Cause; Yue’s shares are not subject to a company repurchase option.

at-the-market financial
"priced at-the-market under Nasdaq rules"
"At-the-market" is a method for companies to sell new shares of stock directly into the open market over time, rather than all at once. It allows companies to raise money gradually, similar to selling slices of a pie instead of the entire pie at once, which can help manage the sale's impact on the stock price. This approach gives investors a steady supply of shares while providing companies with flexible funding options.
Pre-Funded Warrants financial
"immediately exercisable and can be exercised at any time"
Pre-funded warrants are financial instruments that give investors the right to purchase a company's stock at a set price, but with most or all of the purchase price paid upfront. They function like a coupon or gift card for stock, allowing investors to buy shares later at a fixed price, which can be beneficial if they want to avoid future price increases. This makes them important for investors seeking flexibility and certainty in their investment plans.
Black Scholes Value financial
"cash in the amount of the Black Scholes Value"
The Black–Scholes value is the theoretical fair price of a stock option calculated by the Black–Scholes mathematical model; it combines the current stock price, the option’s strike price, time until expiration, expected price swings (volatility), and interest rates to produce a single number. Investors use it like a reference sticker price: to spot mispriced options, guide trading and hedging decisions, and estimate potential risk and reward without relying on emotion or guesswork.
Variable Rate Transaction financial
"involving a Variable Rate Transaction"
fully diluted capitalization financial
"4% of the Company's fully diluted capitalization"
Total number of company shares that would exist if every outstanding instrument that can be converted into common stock—such as stock options, warrants, convertible debt and restricted stock units—were exercised or converted. Investors use this “all-in” share count to see ownership percentages and to calculate per-share figures (like earnings per share) after potential dilution; think of a cake sliced now plus every extra slice that could be cut if all promises were fulfilled.

They are not intended to provide any other factual information about the parties or their respective subsidiaries and affiliates. The Merger Agreement contains representations and warranties by the Company and Merger Sub, on the one hand, and by Legacy Blocksight on the other hand, made solely for the benefit of the other. The Company’s stockholders are not third-party beneficiaries under the Merger Agreement and should not rely on the representations, warranties, covenants and agreements, or any descriptions of those provisions, as characterizations of the actual state of facts or conditions of the parties to the Merger Agreement or any of their respective subsidiaries or affiliates. The assertions embodied in those representations and warranties are qualified by information in confidential disclosure schedules delivered by each party in connection with the signing of the Merger Agreement. Moreover, certain representations and warranties in the Merger Agreement were made as of a specified date, may be subject to a contractual standard of materiality different from what might be viewed as material to stockholders or may have been used for the purpose of allocating risk between the Company and Merger Sub, on the one hand, and Legacy Blocksight and the Sellers, on the other hand. The Pre-Funded Warrants have an exercise price of $0.0001 per share and are immediately exercisable and can be exercised at any time after their original issuance until such Pre-Funded Warrants are exercised in full. Each Share, and accompanying Common Warrants, is being sold at an offering price of $1.39 and each Pre-Funded Warrant, and accompanying Common Warrants, is being sold at an offering price of $1.3899 (equal to the purchase price per Share minus the exercise price of the Pre-Funded Warrant). However, in the event of a fundamental transaction which is not in the Company’s control or in which the consideration payable consists of equity securities of a successor entity that is quoted or listed on a nationally recognized securities exchange, the holders of the Common Warrants will only be entitled to receive from the Company or its successor entity, as of the date of consummation of such fundamental transaction the same type or form of consideration (and in the same proportion), at the Black Scholes Value of the unexercised portion of the Common Warrants that is being offered and paid to the holders of Common Stock in connection with the fundamental transaction, whether that consideration is in the form of cash, stock or any combination of cash and stock, or whether the holders of Common Stock are given the choice to receive alternative forms of consideration in connection with the fundamental transaction.

The foregoing descriptions of the terms and conditions of the Placement Agreement, the Purchase Agreement and the forms of the Lock-Up Agreement, the Pre-Funded Warrant, the Series A Warrant and Series B Warrants are qualified in their entirety by reference to the full text of such documents, which are attached to this Current Report on Form 8-K as Exhibits 10.4, 10.5, 10.6, 4.1, 4.2, and 4.3, respectively, and are incorporated herein by reference in their entirety.

The Company notes that the representations, warranties and covenants made by the Company in any agreement that is incorporated by reference herein were made solely for the benefit of the parties to such agreement, including, in some cases, for the purpose of allocating risk among the parties to such agreements. In addition, the assertions embodied in any representations, warranties and covenants contained in such agreements may be subject to qualifications with respect to knowledge and materiality different from those applicable to security holders generally. Moreover, such representations, warranties or covenants were accurate only as of the date when made, except where expressly stated otherwise. Accordingly, such representations, warranties and covenants should not be relied on as accurately representing the current state of the Company’s affairs at any time.
