(the “Company”) issued $500,000,000 in aggregate principal amount of its 5.600% Senior Notes due 2031 (the “Notes”), pursuant to an underwriting agreement (the “Underwriting Agreement”), dated November 5, 2025, by and among the Company and BofA Securities, Inc., Wells Fargo Securities, LLC, MUFG Securities Americas Inc. and U.S. Bancorp Investments, Inc., as representatives of the several underwriters listed in Schedule A thereof. The Notes were offered and sold in a public offering pursuant to the Company’s Registration Statement on Form S-3 (File No. 333-275360) (the “Registration Statement”). A prospectus supplement relating to the offering and sale of the Notes, dated November 5, 2025, was filed with the Securities and Exchange Commission on November 7, 2025. The Notes will be governed by an Indenture, dated as of November 16, 2023, between the Company and U.S. Bank Trust Company, National Association, as trustee (the “Trustee”), as supplemented by the Second Supplemental Indenture, dated as of November 13, 2025 (the “Second Supplemental Indenture”), between the Company and the Trustee.
