Item 1.02 Termination of a Material Definitive Agreement.

 

As previously disclosed in a Current Report on Form 8-K filed by Planet Green Holdings Corp. (the “Company”) on July 14, 2026, the Company entered into an ATM Sales Agreement with Curvature Securities, LLC (the “Agent”) on July 13, 2026 (the “Sales Agreement”).

 

On August 18, 2026, the Agent delivered written notice to the Company stating that, pursuant to the Sales Agreement, the Agent was terminating the Sales Agreement, effective as of the close of business on August 24, 2026. No shares of the Company’s common stock were sold pursuant to the Sales Agreement as of the date of the notice.
