Rhea-AI Filing Summary

Ridgetech Inc. appointed Lingtao Kong, the board chair, as chief executive officer effective November 1, 2026; he continues as chair. Ming Zhao ceased serving as interim CEO effective that date and continues as chief financial officer.

Kong’s two-year agreement runs through October 31, 2028 and provides annual cash compensation of HK$840,000 (approximately USD108,000), payable monthly. It also provides reimbursement of reasonable and necessary business expenses and directors’ and officers’ insurance with an aggregate maximum coverage limit of USD 5,000,000. The company may terminate the agreement without cause on 30 days’ prior written notice.

Filing Explained

The agreement adds a one-year competitor-service restriction after termination and specifies different payment terms for disability, for-cause, and without-cause termination.

Effective November 1, 2026, the CEO agreement adds a post-termination restriction on Lingtao Kong and sets out the company’s payment duties for different termination scenarios.

For one year after termination, Kong may not serve as an officer, director, or consultant to a competitor without the company’s prior written consent. The agreement specifies accrued unpaid salary plus approved expenses for disability termination; approved expenses, with no further compensation due, for termination for cause; and approved expenses for termination without cause.

Employment term 2 years November 1, 2026, through October 31, 2028
Annual cash compensation HK$840,000 per annum Payable in equal monthly installments
Approximate annual compensation USD108,000 Approximate USD equivalent of annual cash compensation
Aggregate maximum insurance coverage USD 5,000,000 Directors’ and officers’ liability insurance during the term
Notice period 30 days Prior written notice for termination without cause
directors’ and officers’ liability insurance policy technical
"under the Company’s directors’ and officers’ liability insurance policy"
For Cause technical
"Party A may terminate immediately upon written notice"
"For cause" is a contractual standard used when an employer, board, or other party removes someone because they violated rules, broke the contract, committed misconduct, or failed to do their required job. It matters to investors because a "for cause" finding often limits payouts, affects whether stock awards or buyout protections kick in, and signals higher leadership or governance risk—think of it as being fired for a specific reason rather than let go for business reasons.
Non-Competition technical
"For one (1) year following termination"
A non-competition is a contractual restriction that prevents a person or business from starting or working in a competing business within a specified time and geographic area after leaving a job or completing a transaction. It matters to investors because it acts like a temporary fence around customers, trade secrets and know‑how, helping protect future revenue and company value; weak or unenforceable restrictions can increase the risk of customer loss and competitive erosion.
Non-Solicitation technical
"shall not use any employee, customer, or vendor information"
A non-solicitation clause is a contractual promise that one party will not actively try to lure away another party’s employees, customers, or suppliers. For investors, it signals protection of a company’s workforce and client base after a deal or partnership—reducing the risk that key staff or revenue sources will be poached and therefore helping preserve the business’s value, predictability, and post-transaction earnings. Think of it as an agreement not to knock on a neighbor’s door to take their business or team.
