On
July 30, 2025, Steven Madden, Ltd. (the “Company”) issued a press release, furnished as Exhibit 99.1 and incorporated into
this Item 2.02 by reference, announcing the Company’s financial results for the second quarter of its fiscal year ending December
31, 2025.

8.01 Other Events.
The
Company’s press release on July 30, 2025 also announced that the Company’s Board of Directors has declared a quarterly cash
dividend of $0.21 per share on the Company’s outstanding shares of common stock. The dividend is payable on September 23, 2025
to stockholders of record as of the close of business on September 12, 2025.
