On September 10, 2026, following an annual review of the compensation levels of the executive officers of Sandisk Corporation (the “Company”), the Compensation and Talent Committee of the Board of Directors of the Company approved compensation adjustments for Alper Ilkbahar, the Company’s Chief Technology Officer, and Bernard Shek, the Company’s Chief Legal Officer, each effective as of October 1, 2026. The table below sets forth the adjusted annual base salary (if applicable) and adjusted annual short-term incentive (“STI”) target percentage amounts as a percentage of annual base salary (if applicable). In addition to compensation adjustments for Messrs.
