Filing Explained

Silvercorp reports that it bought no shares under the prior 2025 NCIB, so the renewed program is a discretionary maximum rather than a committed repurchase; no current cancellation or ownership change is disclosed.

NCIB maximum repurchase size 8,848,585 common shares Maximum number of shares the company may repurchase under the renewed program
NCIB size as percentage of outstanding shares 4% Portion of 221,214,642 common shares issued and outstanding as of September 8, 2026
Shares outstanding baseline 221,214,642 common shares Issued and outstanding as of September 8, 2026; baseline for the 4% NCIB size
NCIB term September 21, 2026 to September 20, 2027 Expected start and expiry dates of the renewed buyback program
TSX daily purchase limit 261,176 common shares 25% of average daily trading volume permitted to be repurchased per TSX trading day
TSX average daily trading volume 1,044,706 common shares Average daily trading volume on the TSX over the previous six completed calendar months
2025 NCIB authorized size 8,747,245 common shares Prior program approved for September 19, 2025 to September 18, 2026; no shares purchased
2025 NCIB base share count 218,681,127 common shares Issued and outstanding as of September 5, 2025, used to calculate the prior 4% NCIB
normal course issuer bid market
"announce a normal course issuer bid ("NCIB") commencing September 21, 2026"
A Normal Course Issuer Bid is when a company buys back its own shares from the stock market over time. This usually shows that the company believes its stock is undervalued and wants to support its price, which can be important for investors to watch.
alternative trading systems market
"through the facilities of the TSX, the NYSE American, and alternative trading systems"
Alternative trading systems are private, non-exchange platforms run by broker-dealers that match buyers and sellers of stocks and other securities, usually using electronic order matching. Think of them as a farmers’ market alternative to a big supermarket: they can offer different fees, faster or anonymous trading, and specialized order types. Investors care because these venues affect price, liquidity and the transparency of where and how their trades are executed.
average daily trading volume market
"25% of the average daily trading volume on the TSX based on the previous six"
The average daily trading volume is the typical number of shares or units of a security that change hands each trading day, calculated over a set period. It tells investors how active a market is—like average traffic on a road—so higher volume usually means easier, faster trades and smaller price swings when buying or selling, while low volume can make orders harder to fill and cause bigger price moves.
forward-looking statements regulatory
"This news release includes "forward-looking statements" within the meaning"
Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. They matter because they help investors understand a company's outlook, but since they are based on guesses and assumptions, they can sometimes be wrong.
Annual Information Form regulatory
"referred to in the Company's Annual Information Form under the heading "Risk Factors""
A company's annual information form is a comprehensive regulatory filing that lays out its business description, key assets, risks, legal matters and other background details shareholders need to understand the company’s operations. Think of it as a detailed owner’s manual or dossier that supplements financial statements, helping investors do deeper homework on how the business works and what could affect its future performance.
