Rhea-AI Filing Summary

UWM Holdings Corporation filed a current report after issuing a press release responding to Two Harbors Investment Corp. rejecting UWMC’s $12.00 per share acquisition proposal in favor of an $11.30 per share cash transaction with CrossCountry Mortgage.

UWMC states its proposal is fully financed and highlights a committed, unsecured $1.3 billion bridge facility from Mizuho Bank with no ratings trigger, no borrowing-base test, and no market contingency, and notes that Mizuho has agreed to remove a customary due diligence condition. UWMC criticizes the Two Harbors board’s rationale, urges Two Harbors stockholders to evaluate the competing proposals, and says it is assessing its options to help those stockholders obtain what it views as higher value.

Insights

UWMC uses an 8-K to publicly pressure Two Harbors’ board by contrasting its $12.00 per share proposal with the rival $11.30 deal.

UWMC is positioning its $12.00 per share bid as more attractive than Two Harbors’ endorsed $11.30 per share cash transaction with CrossCountry Mortgage. The press release emphasizes that UWMC’s offer is fully financed and includes an additional stock option component, framing the rival deal as inferior for Two Harbors stockholders.

Financing certainty is a core theme: UWMC highlights a committed, unsecured $1.3 billion bridge facility from Mizuho Bank, noting there is no ratings trigger, borrowing-base test, or market contingency, and that a customary due diligence condition has been removed. The statement also points out that details of CrossCountry’s financing, as described, are limited, drawing a contrast in transparency and perceived robustness.

The filing signals a contentious situation but no completed transaction. Actual outcomes depend on further negotiations, regulatory and stockholder approvals, and whether Two Harbors’ board engages with UWMC’s proposal. Subsequent SEC filings by UWMC, Two Harbors, or CrossCountry would provide more definitive information on any agreed deal structure and terms.

Item 9.01 Financial Statements and Exhibits Exhibits
Financial statements, pro forma financial information, and exhibit attachments filed with this report.
UWMC proposal price $12.00 per share Per-share acquisition proposal for Two Harbors
CrossCountry transaction price $11.30 per share Cash transaction for Two Harbors supported by its board
Bridge financing size $1.3 billion Committed unsecured bridge facility from Mizuho Bank supporting UWMC proposal
bridge facility financial
"supported by a committed, unsecured $1.3 billion bridge facility from Mizuho Bank, Ltd."
A bridge facility is a short-term loan or credit line companies use to cover immediate cash needs while they arrange longer-term financing, sell assets, or complete a larger funding deal. Investors care because it temporarily props up a company’s finances and can signal urgent funding gaps; like a bridge that lets traffic keep moving until a permanent road is built, it reduces short-term default risk but may carry higher cost or dilution if extended.
forward-looking statements regulatory
"This communication includes forward-looking statements."
Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. They matter because they help investors understand a company's outlook, but since they are based on guesses and assumptions, they can sometimes be wrong.
registration statement regulatory
"may file one or more registration statements, proxy statements, tender or exchange offers"
A registration statement is a formal document that companies file with a government agency to offer new shares of stock to the public. It provides essential information about the company's finances, operations, and risks, helping investors make informed decisions. Think of it as a detailed product description that ensures transparency and trust before buying into a company.
proxy statement regulatory
"may file one or more registration statements, proxy statements, tender or exchange offers"
A proxy statement is a document companies send to shareholders ahead of a meeting that lays out the items up for a vote—like who will sit on the board, executive pay, and major corporate decisions—and provides background so shareholders can decide how to cast their votes or appoint someone to vote for them. Think of it as an agenda plus a ballot and briefing notes, important because the outcomes can change control, strategy, and value.
tender or exchange offer regulatory
"may file one or more registration statements, proxy statements, tender or exchange offers"
A tender or exchange offer is a public proposal to shareholders to sell their existing shares or trade them for new securities at a set price or ratio, like a company or buyer advertising a cash buyout or a trade-in deal. It matters to investors because it can change who controls the company, set a nearby market price for the stock, and provide a clear chance to sell or swap holdings that may be above or below the regular market price.

UWMC Responds to TWO Board’s Latest Failing for TWO Stockholders

Questions Board’s Basic Math After Baffling Rejection of its Superior $12.00 Acquisition Proposal

TWO Board Takes Three Days to Conclude $11.30 in Cash is Better Than
$12.00 Cash Option

PONTIAC, Mich. & NEW YORK May 4, 2026 — UWM Holdings Corporation (“UWMC” or the “Company”) (NYSE: UWMC), today responded to the press release issued by Two Harbors Investment Corp. (“Two Harbors” or “TWO”) (NYSE: TWO) rejecting UWMC’s $12.00 per share acquisition proposal and reaffirming the support of its Board for its $11.30 per share transaction with CrossCountry Mortgage, LLC (“CrossCountry”):

“The TWO Board’s interpretation of the numbers don’t reflect the underlying math. UWMC’s fully financed $12.00 per share offer is clearly superior to $11.30 and provides a stock option on top of it, and the TWO Board is contorting itself with illogical arguments to suggest otherwise, preventing TWO stockholders from even the opportunity to receive significantly higher value.

“The TWO Board’s arguments about the risks of closing a deal with UWMC are disingenuous, given that this same board already has recommended a transaction with UWMC just months ago, including by highlighting the ability to achieve necessary approvals. Further, UWMC’s financing is supported by a committed, unsecured $1.3 billion bridge facility from Mizuho Bank, Ltd. with no ratings trigger, no borrowing-base test, and no market contingency. The commitment letter contains customary market standard closing conditions, but to avoid any doubt, Mizuho has agreed to remove the customary due diligence condition that the TWO Board raised concerns about. This is more than can be said for CrossCountry’s financing, which still contains scant details even in the most recent announcement and the Board deliberately fails to provide any details about it for obvious reasons.

“The actions of the TWO board are egregious and demonstrate it does not deserve TWO stockholder support for an inferior deal. TWO stockholders have one path to a superior value of $12 per share, which is to demand their board engage fairly and openly with UWMC and until then, carefully consider how to vote on the CrossCountry proposed transaction.

“UWMC is assessing its options to make sure TWO stockholders are able to obtain the value they deserve.”
