Rhea-AI Filing Summary

Watts Water Technologies reported third-quarter 2026 net sales of $728.0 million, up 19% from a year earlier, with organic sales growth of 12%. Operating income was $190.8 million, up 71%, and included a $39.3 million tariff-refund special item. Adjusted operating income was $151.8 million, up 34%, and adjusted operating margin rose 240 basis points to 20.9%. Adjusted diluted EPS increased 36% to $3.40; GAAP diluted EPS was $4.34.

Sales growth reflected higher volume, particularly from data center demand, and favorable pricing. The company raised its approximate full-year 2026 outlook to 17%-18% reported sales growth and 11%-12% organic sales growth, with operating margin of 21.6%-21.7% and adjusted operating margin of 20.3%-20.4%. The outlook assumes no change in the impact of the Middle East conflict and incorporates estimated tariffs in place or announced; adjusted results exclude tariff refunds and related interest income. Higher interest rates and market uncertainty continued to weigh on new construction markets.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

Cash exceeded long-term debt at September 27, 2026.

Watts reports it repurchased approximately 11,000 Class A shares for $3.9 million during the third quarter; $117 million remained available under its 2023 program, so that amount is authorization capacity, not a completed purchase.

For the nine months ended September 27, 2026, free cash flow increased from $216.0 million a year earlier; Watts attributed the increase to higher net income, including tariff refunds, partly offset by higher working capital and capital spending and the prior year's lower cash taxes.

The release's reconciliation presents free cash flow as operating cash flow less capital additions to property, plant and equipment and other long-lived assets, plus proceeds from sales of those assets.

At September 27, 2026, cash exceeded the reported long-term debt balance.

organic sales growth financial
"organic sales growth are non-GAAP measures"
Organic sales growth measures how much a company’s revenue rises from its regular business activity — like selling more products, charging higher prices, or selling to more customers — without counting money from buying other businesses or one-time currency effects. Investors watch it because it shows whether demand and the company’s core operations are genuinely getting stronger, similar to judging a garden by how much the plants you planted yourself are growing rather than by adding bought potted plants.
adjusted operating margin financial
"adjusted operating margin increased 240 basis points"
Adjusted operating margin shows how much profit a company makes from its core business activities, after removing unusual or one-time costs and income. It helps investors see the company's true profitability by providing a clearer picture, similar to removing unexpected expenses to understand the regular performance. This metric is useful for comparing companies or tracking performance over time, as it highlights consistent earning power.
segment margin financial
"Segment margin is defined as segment earnings divided by segment revenue"
Segment margin measures how much profit a particular business unit or division keeps from its own sales after the costs directly tied to that unit are taken out, usually expressed as a percentage of that unit’s revenue. Think of each division as a separate shop: segment margin shows which shops are making and keeping more money from their sales. Investors use it to compare divisions’ efficiency, spot stronger or weaker areas, and decide where growth or cuts might improve overall company returns.
free cash flow financial
"resulting in free cash flow of $230 million"
Free cash flow is the amount of money a company has left over after paying all its expenses and investing in its business, like buying equipment or updating facilities. It shows how much cash is available to reward shareholders, pay down debt, or save for future growth. This helps investors understand if a company is financially healthy and able to grow.

North Andover, Mass., November 4, 2026 -- Watts Water Technologies, Inc. (NYSE: WTS) – through its subsidiaries, one of the world’s leading manufacturers and providers of plumbing, heating and water quality products and solutions – today announced results for the third quarter of 2026.

Chief Executive Officer Robert J. Pagano Jr. said, “Strong execution across our businesses drove double-digit organic growth and significant adjusted operating margin expansion in the third quarter. These results reflect the strength of our diversified portfolio and our ability to capitalize on attractive growth opportunities across our markets. Demand remained particularly strong in data center applications, reinforcing our confidence in the long-term potential of this market. We are again raising our full year sales and margin guidance, given our strong year-to-date performance and expectations for the remainder of the year. While higher interest rates and ongoing market uncertainty continue to weigh on new construction markets, our momentum in data center sales and our strong price performance to date are supporting our outlook. Looking ahead, we plan to continue to build on our competitive strengths through customer-driven innovation, digital capabilities and the One Watts Performance System, reinforcing our market leadership and supporting long-term, profitable growth. I want to thank the global Watts team for their commitment to serving our customers, advancing our strategy and delivering results.”

Third Quarter Financial Highlights

Third quarter 2026 performance compared to third quarter 2025

Sales of $728 million increased 19% on a reported basis and 12% on an organic basis, due to higher volume primarily driven by data center growth and favorable price realization. Acquisition sales within the Americas and APMEA contributed $41 million, or 7%, to reported sales growth. Favorable foreign exchange contributed $1 million to reported sales growth.

Operating margin increased 800 basis points on a reported basis, and 240 basis points on an adjusted basis. Operating margin expansion primarily reflects $39 million of tariff refunds, as well as underlying operational improvements and lower restructuring costs. The tariff refunds were classified as a special item and were not included in adjusted operating margin or segment margin results. Adjusted operating margin increased 240 basis points, driven by favorable price realization, sales volume leverage and productivity, partly offset by inflation and acquisition dilution.

Regional Performance

Americas

Sales of $553 million increased 19% on a reported basis and 12% on an organic basis, primarily due to higher volume driven by data center growth and favorable price realization. Acquisition sales contributed $35 million, or 8%, to reported sales growth.

Segment margin increased 180 basis points primarily due to favorable price realization, sales volume leverage, and productivity, partly offset by inflation, unfavorable product mix and acquisition dilution.

Europe

Sales of $120 million increased 7% on a reported basis and 9% on an organic basis, primarily due to higher volumes and favorable price realization. Unfavorable foreign exchange reduced reported sales growth by 2%.

Segment margin increased 230 basis points primarily due to favorable price realization, sales volume leverage, and productivity, partly offset by higher inflation and unfavorable product mix.

APMEA

Sales of $56 million increased 54% on a reported basis and 30% on an organic basis. Organic growth was primarily due to higher volume driven by data center growth as well as favorable price realization. Acquisition sales contributed $6 million, or 17%, and favorable foreign exchange contributed 8% to reported sales growth.

Segment margin increased 170 basis points primarily due to sales volume leverage, favorable price realization and acquisition accretion, partly offset by higher inflation.

Cash Flow and Capital Allocation

For the first nine months of 2026, operating cash flow was $279 million and net capital expenditures were $49 million, resulting in free cash flow of $230 million. In the comparable period last year, operating cash flow was $247 million and net capital expenditures were $31 million, resulting in free cash flow of $216 million. Free cash flow increased due to higher net income, including the favorable impact from tariff refunds, which was partly offset by higher working capital levels, increased capital expenditures, and the benefit in the prior year from lower cash tax payments. Working capital increases were due to higher accounts receivable attributable to higher net sales and higher inventory due to inflation and strategic inventory investments to support data center demand. The anticipated normal seasonality for the fourth quarter is expected to result in strong operating and free cash flow.

The Company repurchased approximately 11,000 shares of Class A common stock at a cost of $3.9 million during the third quarter of 2026. Approximately $117 million remains available under the stock repurchase program authorized in 2023. There is no expiration date for this program.

Full Year 2026 Outlook

The Company is increasing its full year sales and organic sales growth outlook as well as its operating margin and adjusted operating margin outlook. Full year sales growth is expected to range from up 17% to 18% on a reported basis and up 11% to 12% on an organic basis. Full year operating margin is expected to be between 21.6% and 21.7%, or up 320 to 330 basis points, and adjusted operating margin is expected to be between 20.3% and 20.4%, or up 70 to 80 basis points. The full year outlook ranges are approximate, and assume no change in the level of impact resulting from the Middle East conflict, incorporate the estimated impact of tariffs in place or announced, and adjusted results exclude the impact of tariff refunds and related interest income.

Further 2026 planning assumptions are included in the third quarter earnings materials posted in the Investor Relations section of our website at www.watts.com.

Segment Earnings and Non-GAAP Financial Measures

In this press release, segment earnings is our GAAP performance measure used by our chief operating decision-maker (“CODM”) to assess and evaluate segment results. Segment earnings exclude the impact of non-recurring and unusual items, such as tariff refunds, restructuring costs and acquisition-related costs. The CODM uses segment earnings for insight into underlying trends comparing past financial performance with current performance by reporting segment on a consistent basis. Segment margin is defined as segment earnings divided by segment revenue.

We refer to non-GAAP financial measures (including adjusted operating income, adjusted operating margin, adjusted net income, adjusted diluted earnings per share, organic sales, organic sales growth, free cash flow, cash conversion rate of free cash flow to net income and net debt to capitalization ratio) and provide a reconciliation of those non-GAAP financial measures to the corresponding financial measures contained in our consolidated financial statements prepared in accordance with GAAP. We believe these financial measures enhance the overall understanding of our historical financial performance and give insight into our future prospects. Adjusted operating income, adjusted operating margin, adjusted net income and adjusted diluted earnings per share eliminate certain expenses incurred and benefits recognized in the periods presented that relate primarily to our global restructuring programs, acquisition-related costs, tariff refunds and related interest, and the related income tax impacts on these items and tax adjustment items (with respect to adjusted net income and adjusted diluted earnings per share only). Management then utilizes these adjusted financial measures to assess the run rate of the Company’s operations against those of comparable periods. Organic sales and organic sales growth are non-GAAP measures of net sales and net sales growth excluding the impacts of foreign exchange, acquisitions and divestitures from period-over-period comparisons. Management believes reporting organic sales and organic sales growth provides useful information to investors, potential investors and others, and allows for a more complete understanding of underlying sales trends by providing sales and sales growth on a consistent basis. Free cash flow, cash conversion rate of free cash flow to net income, and the net debt to capitalization ratio, which are adjusted to exclude certain cash inflows and outlays, and include only certain balance sheet accounts from the comparable GAAP measures, are an indication of our performance in cash flow generation and also provide an indication of the Company's balance sheet leverage relative to other industrial manufacturing companies. These non-GAAP financial measures are among the primary indicators management uses as a basis for evaluating our cash flow generation and our capitalization structure. In addition, free cash flow is used as a criterion to measure and pay certain compensation-based incentives. For these reasons, management believes these non-GAAP financial measures can be useful to investors, potential investors and others. The Company’s non-GAAP financial measures may not be comparable to similarly titled measures reported by other companies. The presentation of this additional information is not meant to be considered in isolation or as a substitute for financial measures prepared in accordance with GAAP.
