Key Terms

stock buyback program financial
A stock buyback program is when a company uses its cash to repurchase its own shares from the market, reducing the number of shares available to other investors. This can raise profit per share and often signals management believes the stock is undervalued, like a business buying back coupons to concentrate value for remaining holders; it matters because it can support the share price, change ownership percentages, and alter key financial ratios.
accelerated share repurchase plans financial
An accelerated share repurchase plan is a way for a company to quickly buy back a large number of its own shares by paying an investment bank up front, which delivers the shares immediately while the bank settles the exact amount later. For investors this matters because it reduces the number of shares outstanding, often increasing profit per share and signaling confidence from management, but it also uses company cash and can change future share supply and stock performance.
securities and exchange commission regulatory
A national government agency that enforces rules for buying, selling and disclosing information about stocks and other investments, acting like a referee and scorekeeper for financial markets. It requires companies to share clear, regular financial and business information and investigates fraud or rule-breaking, which matters to investors because those rules and disclosures help ensure fair prices, reduce hidden risks and make it easier to compare investment choices.

GULFPORT, Miss.--(BUSINESS WIRE)-- Hancock Whitney Corporation (Nasdaq: HWC) today announced that at its December meeting, the Company’s Board of Directors (“the Board”) authorized a stock buyback program (the “Stock Buyback Program”) pursuant to which the Company may, from time to time, purchase up to 5% of the shares of the Company’s common stock outstanding as of December 31, 2025, replacing the existing stock buyback program that expires on December 31, 2026, under which the 4.3 million shares available for purchase were fully exhausted during the fourth quarter of 2025.

The Stock Buyback Program is effective on January 1, 2026 and expires on December 31, 2026. The shares may be repurchased in the open market, by block purchase, through accelerated share repurchase plans, in privately negotiated transactions or otherwise, in one or more transactions, from time to time, depending upon market conditions and other factors, and in accordance with applicable regulations of the Securities and Exchange Commission. The Stock Buyback Program may be terminated or amended by the Board at any time prior to the expiration date.
