form 10-kregulatory
A Form 10-K is a comprehensive report that publicly traded companies are required to file annually with regulators. It provides a detailed overview of a company's financial health, operations, and risks, similar to a detailed health report. Investors use this information to assess the company's performance and make informed decisions about buying or selling its stock.
securities and exchange commissionregulatory
A national government agency that enforces rules for buying, selling and disclosing information about stocks and other investments, acting like a referee and scorekeeper for financial markets. It requires companies to share clear, regular financial and business information and investigates fraud or rule-breaking, which matters to investors because those rules and disclosures help ensure fair prices, reduce hidden risks and make it easier to compare investment choices.
form 12b-25regulatory
Form 12b-25 is a notice a publicly traded company files with the U.S. Securities and Exchange Commission when it cannot deliver a required periodic report (like a quarterly or annual financial report) on time. It explains the reason for the delay and gives the company a short, temporary window to finish the report without being marked as delinquent; investors watch it because late filings can signal accounting, operational, or control issues that may affect a company’s reliability and stock risk, much like a missed homework deadline can raise concerns about a student’s preparedness.
internal controls over financial reportingfinancial
Internal controls over financial reporting are the policies, procedures and checks a company uses to make sure its accounting and financial statements are accurate, complete and free from significant error or fraud. They matter to investors because strong controls lower the risk of misleading results or surprise restatements—think of them as a quality checkpoint on a factory line that helps prevent costly defects that could damage a company’s value and reputation.
WASHINGTON--(BUSINESS WIRE)--
FiscalNote Holdings, Inc. (NYSE: NOTE), the leading provider of AI-driven policy and regulatory intelligence solutions, today announced it will report financial results for the Fourth Quarter and Full Year 2025 ended December 31, 2025 on Thursday, March 19, 2026 immediately following market close. The Company will also conduct a related conference call at 5:00 p.m. ET (U.S.) on that same day. Information regarding how to participate in the conference call is provided below.
The Company also intends to file its Annual Report on Form 10-K for Fiscal 2025 (the “2025 Form 10-K”) with the Securities and Exchange Commission (“SEC”) after market close on March 19, 2026 or as promptly as practicable thereafter. The Company plans to file a Notification of Late Filing on Form 12b-25 to extend the 2025 Form 10-K filing deadline. Despite working diligently to timely file the 2025 Form 10-K by its original due date of March 16, 2026, the Company has determined that it requires additional time to finalize certain technical and procedural aspects of the audit of its 2025 financial statements and internal controls over financial reporting. These aspects require significant resources from the Company’s financial, accounting and administrative personnel, as well as its independent registered public accounting firm. As a result, the Company requires additional time to finalize the audit and the 2025 Form 10-K.
