ALBANY, N.Y.--(BUSINESS WIRE)-- Soluna Holdings, Inc. (“Soluna” or the “Company”) (NASDAQ: SLNH), a developer of green data centers for intensive computing applications, today announced that it has entered into definitive agreements for the purchase and sale of 18,079,144 shares of common stock (or pre-funded warrants in lieu thereof) and accompanying Series C warrants to purchase up to 18,079,144 shares of common stock at a purchase price of $1.77 per share (or pre-funded warrant in lieu thereof) and accompanying Series C warrant in a registered direct offering priced at-the-market under Nasdaq rules. The Series C warrants will have an exercise price of $1.65 per share, will be exercisable immediately upon issuance, and will expire five years following the date of issuance.

H.C. Wainwright & Co. is acting as the exclusive placement agent for the offering.

The gross proceeds of the offering described above are expected to be approximately $32 million before deducting placement agent fees and other offering expenses payable by the Company. The Company intends to use the net proceeds of the offering for working capital, project-level equity, and general corporate purposes.

The offering is expected to close on or about December 5, 2025, subject to satisfaction of customary closing conditions.
