A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated into this Item 8.01 by reference.

On September 19, 2025, the Company sent a Notice of Adjournment of Special Meeting of Stockholders (the “Notice”) to its holders of record as of the record date for the Special Meeting.  A copy of the Notice is attached as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated into this Item 8.01 by reference.
