Rhea-AI Filing Summary

Teucrium Commodity Trust (BTCK), sponsor of the 7RCC Spot Bitcoin and Carbon Credit Futures ETF, reports that the Fund’s outstanding Shares have reached the minimum level of 50,000 Shares, equal to five baskets of 10,000 Shares each. Under the Prospectus section “Creation and Redemption of Shares — Suspension or Rejection of Redemption Orders,” the Sponsor may reject any redemption order that would reduce outstanding Shares below 50,000, unless the redeemer holds all outstanding Shares. The Sponsor states it will reject such redemption orders until additional creation orders increase Shares outstanding. The Trust notes that in this situation market makers may be less willing to purchase Shares on NYSE Arca, which can result in wider bid-ask spreads, reduced secondary-market liquidity, and larger deviations of the trading price from NAV per Share.

Positive

  • None.

Negative

  • Liquidity and pricing risk: With outstanding Shares at the 50,000 Share minimum and the Sponsor rejecting redemptions that would drop below this level, the Trust warns that bid-ask spreads may widen, secondary-market liquidity may decrease, and Share prices may deviate more from NAV per Share.

Item 9.01 Financial Statements and Exhibits Exhibits
Financial statements, pro forma financial information, or exhibit attachments filed with this report.
Minimum outstanding Shares threshold 50,000 Shares Minimum level of Shares outstanding for the 7RCC Spot Bitcoin and Carbon Credit Futures ETF
Basket size 10,000 Shares per basket Five baskets of 10,000 Shares each comprise the 50,000 Shares outstanding
Number of baskets at minimum level 5 baskets Outstanding Shares equal five baskets of 10,000 Shares each
redemption order financial
"the Sponsor reserves the right to reject a redemption order if the number"
bid-ask spreads financial
"which can lead to wider bid-ask spreads and reduced liquidity for Shares"
The bid-ask spread is the gap between the highest price someone is willing to pay for a security (the bid) and the lowest price someone will accept to sell it (the ask). Like the difference between what buyers at a garage sale will offer and what sellers want, a wider spread raises the effective cost and difficulty of trading and signals lower demand or higher uncertainty, while a narrow spread means cheaper, easier trades for investors.
NAV per Share financial
"cause the price of Shares to deviate more significantly than usual from the Fund’s NAV per Share"
NAV per share is the value of a fund or company's assets minus its liabilities, divided by the number of shares outstanding — think of it as the price of one slice of a pie made from all the holdings. Investors use it to judge whether a share’s market price is fair: if the market price is lower than NAV per share, shares may be trading at a discount; if higher, at a premium.
market makers financial
"Investors should be aware that market makers may be less willing to purchase"
Market makers are firms or traders who always stand ready to buy and sell a stock by posting continuous bid and ask prices, acting like a store that both sells and buys the same product so customers can trade anytime. They matter to investors because they keep trades flowing and determine the bid-ask spread — which affects how quickly orders execute and how much investors pay or receive when buying or selling shares.

Item 8.01. Other Events.

Teucrium Trading, LLC, as sponsor (the “Sponsor”) of Teucrium Commodity Trust (the “Trust”), hereby reports that the number of outstanding shares of the 7RCC Spot Bitcoin and Carbon Credit Futures ETF (the “Fund”), a series of the Trust, has reached the minimum level of 50,000 Shares (i.e., five baskets of 10,000 Shares each).

As disclosed in the Fund’s Prospectus under “Creation and Redemption of Shares — Suspension or Rejection of Redemption Orders,” the Sponsor reserves the right to reject a redemption order if the number of Shares being redeemed would reduce the remaining outstanding Shares below 50,000 Shares, unless the Sponsor has reason to believe that the placer of the redemption order does in fact possess all the outstanding Shares of the Fund and can deliver them. Accordingly, the Sponsor will reject redemption orders that would cause the Fund’s outstanding Shares to fall below this minimum threshold until there are additional creation orders that increase the number of Shares outstanding.

Investors should be aware that market makers may be less willing to purchase Shares in the secondary market under these circumstances, which can lead to wider bid-ask spreads and reduced liquidity for Shares trading on NYSE Arca, which may cause the price of Shares to deviate more significantly than usual from the Fund’s NAV per Share.

Investors should read the Fund’s Prospectus, including the risk factor entitled “If a minimum number of Shares is outstanding, market makers may be less willing to purchase Shares in the secondary market which may limit your ability to sell Shares.” and the section entitled “Creation and Redemption of Shares — Suspension or Rejection of Redemption Orders,” for additional information regarding these matters. Capitalized terms used but not defined herein shall have the meanings assigned to them by the Fund’s Prospectus.
