Rhea-AI Filing Summary

Teucrium Commodity Trust (BTCK), through its sponsor Teucrium Trading, LLC, has authorized the Teucrium Wheat Fund to invest, at the Sponsor’s discretion, in KC Hard Red Winter Wheat futures on the Chicago Board of Trade and Hard Red Spring Wheat futures on the Minneapolis Grain Exchange.

The Fund will use these Alternative Wheat Futures Contracts only when position limits, accountability levels or price fluctuation limits restrict its ability to hold its usual Benchmark Component Futures Contracts in amounts needed to pursue its objective. The investment objective, Benchmark and Benchmark Component Futures Contracts remain unchanged, and under normal conditions the Fund will continue to focus on those benchmark contracts and cash equivalents.

The Trust notes that because these alternative contracts reference different wheat classes, delivery locations and specifications, and trade in less liquid markets, the Fund’s NAV may correlate less closely with its Benchmark when they are used. On August 31, 2026, the Trust filed a Rule 424(b)(3) prospectus supplement describing these changes.

Filing Explained

Effective immediately, WEAT can use alternative wheat futures, but the filing does not commit the Fund to buying them.

This Form 8-K reports that, effective immediately, the sponsor has authorized the Fund to use KC Hard Red Winter Wheat and MGEX Hard Red Spring Wheat futures at its discretion.

That authorization creates investment capacity rather than a disclosed purchase: under normal conditions the Fund will continue using its benchmark futures and cash, and may use the alternatives only when limits restrict benchmark positions.

The Fund intends to use the same contract months as its benchmark holdings; its next calculated NAV holdings list is available on the Fund’s website, which can show whether the new capacity is being used.

FAQ

What change did Teucrium Commodity Trust (BTCK) announce for the Teucrium Wheat Fund?

The Trust reported that the Teucrium Wheat Fund may now invest, at the Sponsor’s discretion, in KC Hard Red Winter Wheat and Hard Red Spring Wheat futures as Alternative Wheat Futures Contracts when limits constrain its usual Benchmark Component Futures Contracts.

When will the new investment flexibility for the Teucrium Wheat Fund take effect?

The Sponsor determined that the new ability to invest in Alternative Wheat Futures Contracts is effective immediately as of August 31, 2026, according to the Teucrium Commodity Trust’s current report.

Does the Teucrium Wheat Fund (WEAT) change its investment objective or Benchmark?

No. The Trust states that the Fund’s investment objective, Benchmark, and Benchmark Component Futures Contracts have not changed. Under normal market conditions, the Fund will continue to seek its objective primarily through those benchmark contracts and cash and cash equivalents.

Under what conditions will BTCK’s Teucrium Wheat Fund use Alternative Wheat Futures Contracts?

The Fund expects to invest in Alternative Wheat Futures Contracts only when position limits, accountability levels or price fluctuation limits on its Benchmark Component Futures Contracts restrict holding them in the amounts needed to pursue its investment objective.

How could using Alternative Wheat Futures Contracts affect WEAT’s NAV correlation?

Because KC HRW and MGEX HRS futures reference different wheat classes, delivery locations and grade specifications, and their markets are less liquid, the Trust explains that using these contracts may cause the Fund’s NAV to correlate less closely with changes in its Benchmark.

What additional disclosure did Teucrium Commodity Trust (BTCK) file on August 31, 2026?

On August 31, 2026, the Trust filed a prospectus supplement under Rule 424(b)(3) describing the new use of Alternative Wheat Futures Contracts. It is to be read together with the Fund’s prospectus dated April 30, 2026, as supplemented.

Teucrium Trading, LLC, as sponsor (the “Sponsor”) of Teucrium Commodity Trust (the “Trust”), has determined that, effective immediately, Teucrium Wheat Fund (the “Fund”), a series of the Trust, may exercise its discretion to invest in (i) KC Hard Red Winter Wheat futures contracts listed for trading on the Chicago Board of Trade (“KC HRW Wheat Futures Contracts”) and (ii) Hard Red Spring Wheat futures contracts listed for trading on the Minneapolis Grain Exchange, LLC (“MGEX HRS Wheat Futures Contracts” and, together with KC HRW Wheat Futures Contracts, “Alternative Wheat Futures Contracts”).

The Fund’s investment objective, Benchmark and Benchmark Component Futures Contracts have not changed. Under normal market conditions, the Fund will continue to seek to achieve its investment objective by investing in Benchmark Component Futures Contracts and in cash and cash equivalents. The Fund expects to invest in Alternative Wheat Futures Contracts only if, and only to the extent that, position limits, accountability levels or price fluctuation limits applicable to the Benchmark Component Futures Contracts restrict the Fund’s ability to invest in Benchmark Component Futures Contracts in the amounts necessary to seek its investment objective. The allocation of the Fund’s investments to Alternative Wheat Futures Contracts, generally, and among the different types of Alternative Wheat Futures Contracts, shall be subject to the sole discretion and judgement of the Sponsor. The Fund intends to invest in Alternative Wheat Futures Contracts in the same contract months as its then-existing Benchmark Component Futures Contract holdings. A list of the Fund’s holdings that will be used for the Fund’s next calculated net asset value ("NAV") can be found on the Fund’s website at teucrium.com/weat.

CBOT Wheat, CBOT KC Hard Red Winter Wheat and MGEX Hard Red Spring Wheat are each separate core referenced futures contracts under Part 150 of the Commodity Futures Trading Commission’s regulations and are each subject to separate federal and exchange-set position limits and accountability levels. Because KC HRW Wheat Futures Contracts and MGEX HRS Wheat Futures Contracts reference different classes of wheat than the Benchmark Component Futures Contracts, and have different delivery locations, delivery terms and grade specifications, an investment in Alternative Wheat Futures Contracts may cause changes in the Fund’s NAV to correlate less closely with changes in the Benchmark, and the markets for those contracts are less liquid than the market for the Benchmark Component Futures Contracts.

On August 31, 2026, the Trust filed a supplement to the Fund’s prospectus pursuant to Rule 424(b)(3) under the Securities Act of 1933, as amended, describing the matters set forth in this Current Report. Investors should read that supplement together with the Fund’s prospectus dated April 30, 2026, as supplemented.
