Rhea-AI Filing Summary

Australian Oilseeds Holdings Ltd (COOT) has called a virtual extraordinary meeting for November 10, 2026, for shareholders to vote on six proposals. The proposed 80-for-1 consolidation covers issued and unissued Class A, Class B and preference shares; if approved, it would take effect at 12:01 a.m. Eastern Time on the date confirmed by The Nasdaq Stock Market LLC or a date to which it otherwise raises no objection.

A further proposal, conditional on the consolidation and compliance with Cayman Islands requirements for reductions supported by solvency statements, would reduce each issued share’s par value from US$0.008 to US$0.000001 and transfer the resulting credit to a distributable reserve. Subject to the reduction and reorganization taking effect, the proposed authorized share capital increase would be from US$6.9375 to US$1,000, including creation of 993,062,500 additional Class A shares. Other proposals cover amended articles, implementation authority and possible adjournment; the Board recommends voting “FOR” all six. Shareholders of record at close of business October 21, 2026, are entitled to vote.

Filing Explained

The meeting notice leaves the proposed 80-for-one consolidation pending a November 10, 2026 shareholder vote; if approved, a shareholder whose holding would otherwise produce a fraction would receive one share of that class in its place.

Share Consolidation financial
"a share consolidation of the Company’s issued and unissued"
Share consolidation is a process where a company reduces the total number of its shares by combining multiple existing shares into a smaller number of higher-value shares. This can make each share more expensive and potentially improve the company’s image. For investors, it often means their ownership remains the same, but the value of each share increases, which can influence how the stock is perceived and traded.
par value financial
"the par value of each issued class A ordinary share"
Par value is the fixed amount printed on a bond or stock that represents its original value when issued. It’s like the face value of a coin or bill—what the issuer promises to pay back or the starting price of a stock—though it often doesn’t change with market prices. It matters because it helps determine certain financial details, like how much the company will pay back at maturity.
distributable reserve account financial
"transferred to a distributable reserve account of the Company"
Ordinary Resolution regulatory
"“Ordinary Resolution” means a resolution passed by a simple majority"
An ordinary resolution is a decision made by shareholders at a company meeting that is approved when more than half of the votes cast are in favor. Think of it like a household vote where a majority decides routine matters — it covers everyday corporate actions such as approving directors, routine policy changes, or distributions, and matters to investors because these majority-approved choices shape governance, management authority, and the company’s near-term direction.
Special Resolution regulatory
"“Special Resolution” means a resolution passed by a majority"
A special resolution is a formal shareholder vote that requires a higher-than-normal majority—typically around three-quarters—to approve major corporate changes, such as altering the company’s governing rules, selling the business, or winding it up. It matters to investors because it signals decisive, potentially value-altering actions that cannot be passed by a simple majority; think of it as needing extra votes to change the rules of a club, so minority interests are harder to override.
