Filing Explained

With the placement complete, the additional shares are already included in the outstanding total, reducing existing holders’ percentage ownership absent offsetting changes.

Class A ordinary shares issued 18,240,000 shares Private placement completed October 12, 2026
Purchase price per share US$0.2193 per share Private placement
Aggregate gross proceeds Approximately US$4.0 million Before offering expenses payable by the company
Class A ordinary shares issued and outstanding 67,108,604 shares Following closing of the offering
Resale registration filing deadline Within 90 calendar days after the Closing Date Company agreed to file a registration statement covering resale of the shares
Regulation S regulatory
"reliance on the exemption from registration provided by Regulation S"
Regulation S is a set of rules that allows companies to sell securities (like shares or bonds) to investors outside the United States without having to follow all U.S. securities laws. It matters because it makes it easier for companies to raise money from international investors while still complying with U.S. regulations.
offshore transaction regulatory
"acquired the Shares in an “offshore transaction”"
gross proceeds financial
"aggregate gross proceeds of approximately US$4.0 million"
The total amount of cash a company receives from a financing event or sale before any fees, expenses, taxes or deductions are taken out. Investors watch gross proceeds because it shows the raw scale of new capital being raised—think of it as the paycheck amount before withholdings—which helps assess how much funding is available for operations, growth, debt payoff or how much shareholder dilution might occur once costs are removed.
resale registration statement regulatory
"the filing and effectiveness of the resale registration statement"
A resale registration statement is a document filed with regulators that allows existing shareholders to sell their shares to the public. It provides the necessary legal approval and information for these shares to be resold on the market, helping to increase the availability of shares for trading. For investors, it signals that shares held by current owners can be offered for sale, potentially affecting share prices and market liquidity.

The Company received aggregate gross proceeds of approximately US$4.0 million from the Offering, before deducting offering expenses payable by the Company. Following the closing of the Offering, the Company had 67,108,604 Class A ordinary shares issued and outstanding.

Under the Securities Purchase Agreement, the Company agreed to issue and sell to the Purchasers, and the Purchasers, severally and not jointly, agreed to purchase from the Company, the Shares, on the terms and subject to the conditions set forth therein. The Securities Purchase Agreement contains customary representations, warranties and covenants of the Company and the Purchasers, as well as customary indemnification obligations. The closing of the Offering was subject to the satisfaction of customary closing conditions set forth in the Securities Purchase Agreement, including the accuracy of the Company’s representations and warranties as of the Closing Date, the delivery of the closing deliverables and the payment of the subscription amounts by the Purchasers, each of which was satisfied on or prior to the Closing Date.

Each Purchaser represented that it is not a “U.S. Person” as defined in Rule 902 under the Securities Act and that it acquired the Shares in an “offshore transaction” as defined in Rule 902 under the Securities Act. Accordingly, the Shares may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws.
