Filing Explained

Completed warrant exercise increased the share count, diluting existing holders while adding cash to the company.

The filing reports that the warrant exercise was completed through the issuance of $3.7 million of cash proceeds and 279,330 new shares on September 8, 2026, bringing common shares outstanding to 982,012. Because the shares are newly issued, existing holders' percentage ownership is reduced absent offsetting changes.

As of June 30, 2026, the company reported $1,600,258 of cash and $740,777 of quarterly operating cash use; that cash balance equals 196.6 days of the last reported quarterly operating cash use.

warrants financial
"the exercise of warrants to purchase an aggregate of 279,330 of common shares"
Warrants are special documents that give you the right to buy a company's stock at a set price before a certain date. They are often used as a way for companies to attract investors or raise money, and their value can increase if the company's stock price goes up.
private placement financial
"The warrants described above were offered as part of a private placement"
A private placement is a sale of securities directly to a selected group of investors, typically institutions or accredited investors, instead of through a public offering. It lets a company raise money faster and with fewer regulatory steps; for existing shareholders it matters because the newly issued shares, often sold at a discount, increase the share count and can dilute their ownership.
gross proceeds financial
"Announces Exercise of Warrants for Approximately $3.7 Million in Gross Proceeds"
The total amount of cash a company receives from a financing event or sale before any fees, expenses, taxes or deductions are taken out. Investors watch gross proceeds because it shows the raw scale of new capital being raised—think of it as the paycheck amount before withholdings—which helps assess how much funding is available for operations, growth, debt payoff or how much shareholder dilution might occur once costs are removed.
Internet of Things (IoT) technical
"provider of patented hardware and software design technologies for Internet of Things (IoT) and 5G"
The internet of things (IoT) describes a network of everyday objects—such as appliances, vehicles, and devices—that are connected to the internet and can share data automatically. This connectivity enables these objects to function more efficiently and provides valuable insights for businesses and consumers alike. For investors, IoT represents a growing area of technological innovation with the potential to transform industries and create new market opportunities.
forward-looking statements regulatory
"may constitute "forward-looking statements" within the meaning of The Private Securities Litigation Reform Act"
Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. They matter because they help investors understand a company's outlook, but since they are based on guesses and assumptions, they can sometimes be wrong.
