On August 29, 2025, in connection with the recently completed acquisition (the “Acquisition”) of Ban Leong Technologies Limited (“Ban Leong”) by GCL Global Holdings Ltd (“GCL” or the “Company”), the Company published Ban Leong’s audited financial statements for the fiscal years ended March 31, 2024 and 2025, and certain unaudited pro forma financial information about the Acquisition, a copy of which is being furnished as Exhibit 99.1 and 99.2, respectively hereto.
