Rhea-AI Filing Summary

Gamehaus Holdings Inc. (GMHS) agreed to acquire a 56.0% equity interest in Techforge Co., Ltd. on a fully diluted basis for aggregate consideration of US$26.6 million. The consideration comprises US$19.6 million payable to existing shareholders in newly issued Gamehaus Class A ordinary shares and a US$7.0 million cash subscription to Techforge.

The sellers will receive 24,500,000 Gamehaus Class A ordinary shares at a deemed purchase price of US$0.80 per share; the cash subscription covers 2,526 newly issued Techforge ordinary shares. Closing is expected within 30 days after the November 2, 2026 agreements, subject to customary conditions, including requisite corporate approvals. The related-party transaction was reviewed and approved by Gamehaus’s Audit Committee and Board.

Upon consummation, Mr. Feng Xie, Gamehaus’s chairman, will beneficially own 31.5% of Gamehaus’s outstanding ordinary shares and 87.6% of its voting power, as well as 91.4% of Techforge’s voting power. Gamehaus plans to add Anamana, Techforge’s AI-native micro-serial platform, to its portfolio and develop it as a primary engine of future growth.

Filing Explained

The resale-registration process is a post-closing effort commitment, not a completed registration for the consideration shares.

The Techforge acquisition remains subject to closing conditions; Gamehaus says its own shareholders do not need to approve it.

If completed, the agreed issuance of 24,500,000 new Class A shares would increase Gamehaus’s share count and reduce existing holders’ percentage ownership, absent offsetting changes.

Under the subscription agreement, Gamehaus agreed to use commercially reasonable efforts to file a resale registration statement for those shares within 60 calendar days after closing and to cause it to become effective no later than 120 days after that filing deadline.

Deemed purchase price US$0.80 per share For the consideration shares
Mr. Feng Xie's Gamehaus ownership after consummation 31.5% of outstanding ordinary shares; 87.6% of aggregate voting power Beneficial ownership upon consummation
Mr. Feng Xie's Techforge voting power 91.4% Upon consummation
fully diluted basis financial
"56.0% of the outstanding equity interests of Techforge on a fully diluted basis"
A fully diluted basis counts every share that could exist if all outstanding options, warrants, convertible securities and other rights were exercised or converted into common stock, showing the maximum number of shares outstanding. For investors this matters because it spreads ownership and earnings across that larger share count, like slicing a pie into every possible piece before deciding how big each investor’s slice will be, which affects per-share value and ownership percentage.
Material Adverse Effect regulatory
"the absence of a Material Adverse Effect"
A material adverse effect is a significant negative change or event that substantially reduces a company’s business, financial condition, or future prospects — think of it like a sudden major engine failure that makes a car unreliable. Investors care because such an event can lower expected profits, trigger contract clauses (allowing counterparties to renegotiate or walk away), and prompt swift stock-price reassessment based on the higher risk and uncertainty.
private placement transaction regulatory
"in a private placement transaction"
commercially reasonable efforts regulatory
"use its commercially reasonable efforts to file"
AI-native technical
"an artificial intelligence-native integrated micro-serial platform"
A company or product described as ai-native is built from the ground up around artificial intelligence rather than having AI added on later; its core processes, user experience and decision-making rely on machine learning models and data pipelines. Like a house designed for wheelchair access versus one retrofitted, ai-native firms can move faster, scale more cheaply and offer unique products or cost advantages—information investors use to judge future growth potential and risk exposure to model, data or regulatory failures.

Gamehaus Signs Definitive Agreement to Acquire Majority Stake in Anamana

Transaction will accelerate Gamehaus’s transition to an AI content production and distribution platform

SHANGHAI, Nov. 2, 2026 /PRNewswire/ — Gamehaus Holdings Inc. (“Gamehaus” or the “Company”) (Nasdaq: GMHS), a technology-driven mobile game publisher, today announced that it has entered into a definitive share purchase agreement (the “Share Purchase Agreement”) to acquire existing shares of Techforge Co., Ltd (“Techforge”) from certain selling shareholders, including an entity controlled by Mr. Feng Xie, the Company’s founder and chairman, for an aggregate consideration of US$19.6 million (the “Share Purchase”), payable through the issuance of Class A ordinary shares of Gamehaus. Techforge is the holding company of Anamana Pte. Ltd., an integrated AI-native micro-serial platform, production platform and global creator ecosystem incubator (“Anamana”). Substantially concurrently with the execution of the Share Purchase Agreement, Gamehaus also entered into a share subscription agreement with Techforge (the “Share Subscription Agreement”), pursuant to which Gamehaus will invest US$7.0 million in cash directly into Techforge (the “Cash Capital Investment”). Following completion of the Share Purchase and Cash Capital Investment (together, the “Proposed Transaction”), Gamehaus is expected to hold approximately 56% of the equity interests in Techforge.

The Proposed Transaction is intended to advance Gamehaus’s transition from a mobile game publisher to a broader AI content production and distribution platform. Following the completion of the Proposed Transaction, the Company plans to establish Anamana as a new business in its portfolio and develop it into Gamehaus’s primary engine driving future growth. Gamehaus will continue to manage its existing gaming business with a focus on cash flow and profitability.

Anamana’s long-term strategy is to build on its AI-native micro-serial business, expand its content production and distribution capabilities, and progressively develop personalized, interactive entertainment with selected creators around the world. Following the completion of the Proposed Transaction, Gamehaus will pursue the same long-term strategy, combining its publishing, user acquisition, data analytics and monetization experience with Anamana’s AI-assisted production platform, creator ecosystem and distribution channels.

Mr. Feng Xie, founder and chairman of Gamehaus, commented: “We see an opportunity to apply the capabilities we have built in gaming to a broader range of AI-powered entertainment. Starting with Anamana’s micro-serial business, our goal is to develop a platform that connects content creation and distribution with increasingly personalized, interactive experiences. We aim to pursue this opportunity with a disciplined approach to investment and commercialization.”

Transaction Overview

Pursuant to the Share Purchase Agreement, dated November 2, 2026, the Company will acquire an aggregate of 7,778 ordinary shares of Techforge from certain selling shareholders of Techforge, for aggregate consideration of US$19.6 million. The purchase price payable to each selling shareholder would be satisfied in full through the issuance of the Company’s Class A ordinary shares to such selling shareholder or its designee, with no cash payable to the selling shareholders. In connection with the Share Purchase Agreement, on November 2, 2026, Gamehaus entered into a separate subscription agreement with such selling shareholders of Techforge, governing the issuance of approximately 24.5 million Class A ordinary shares of the Company at a price of US$0.80 per share (the “Consideration Shares”).
