Filing Explained

Of Cornell’s sign-on bonus, $45,000 depends on relocation completion before August 1, 2027; annual long-term incentive payouts combine shares and cash.

For the CFO appointment, the offer letter sets annual long-term incentive payout at 65% transfer-restricted shares and 35% cash.

The $75,000 sign-on bonus is divided into $30,000 on Cornell’s first payroll date and $45,000 upon relocation completion, if relocation occurs before August 1, 2027.

The separate one-time award of 3,500 shares is fully vested, but is generally subject to transfer restrictions for five years.
