Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Appointment of Principal Accounting Officer
On September 2, 2026, the Board of Directors (the “Board”) of Joby Aviation, Inc (the “Company”) appointed Sergey Novikov as the Company’s Principal Accounting Officer, effective immediately.
Mr. Novikov, age 57, has served as the Company’s Controller since June 2021. In addition, from December 13, 2024 through May 29, 2025, Mr. Novikov served as the Company’s acting principal accounting officer. Prior to that he was with Varian Medical Systems, where he served as Sr. Director, Americas Controller, responsible for accounting and reporting operations in North and South America from June 2018 to June 2021. He began his accounting career with Price Waterhouse and is a licensed certified public accountant in the state of California.
Mr. Novikov’s compensatory and other arrangements with the Company will continue as in effect prior to his promotion. The Company and Mr. Novikov will enter into the Company’s standard indemnification agreement, the form of which was filed as Exhibit 10.5 to the Annual Report on Form 10-K for the year ended December 31, 2025, filed with the U.S. Securities and Exchange Commission on February 27, 2026. There are no arrangements or understandings between Mr. Novikov and any other person pursuant to which he was appointed to his position. Mr. Novikov does not have any family relationships with any of the Company’s directors or executive officers, and is not a party to any transactions that would be required to be disclosed pursuant to Item 404(a) of Regulation S-K.
