Rhea-AI Filing Summary

Laser Photonics Corporation appointed founder Dmitri Nikitin as Executive Chairman on October 12, 2026, and he assumed the principal executive officer responsibilities previously held by CEO Wayne Tupuola. Tupuola’s resignation as CEO and director took effect October 13; the company said it was for personal reasons and not a disagreement. Ann Tewari’s interim presidency ended October 13, and she returned to Vice President, Operations.

Nikitin’s employment agreement, effective October 12, provides annual base salary of $400,000 and an award of 2,000,000 common shares as soon as reasonably practicable. Half the award vests on the grant date and the remainder ratably on the first two anniversaries, subject to continued employment. He also receives a $1,850 monthly car allowance. ICT and its affiliates own approximately 19% of outstanding common stock. As of September 30, 2026, accounts payable due to ICT and its affiliates was $310,814; $50,615 of accrued loan interest remained unpaid after loan principal was repaid.

Filing Explained

The agreement makes severance conditional, but provides a year of salary and COBRA coverage plus accelerated vesting if specified termination conditions occur.

The October 16, 2026 employment agreement, effective October 12, 2026, sets termination benefits that apply only after specified qualifying terminations. If the company terminates Nikitin without cause, he dies or becomes disabled, or he resigns for good reason, and he signs and does not revoke a release, the agreement provides accrued compensation, accelerated vesting of any unvested award, cash equal to 12 months of base salary, and COBRA reimbursement for up to 12 months or until comparable coverage is available sooner.

The filing also discloses arrangements with ICT affiliates: the company pays FTI a monthly service fee of 6.5%; two technology-license agreements provide for 6.5% royalties on applicable future revenue, with stated share consideration of 1,000,000 and 3,000,000 shares, respectively.

The company says it anticipates entering into a consulting agreement with former CEO Wayne Tupuola and will summarize its terms in a subsequent filing.
